Buyer's Obligation to Cooperate. WEC's obligations under this Services Agreement are conditioned upon Buyer's obligation to provide WEC with all information and service WEC deems necessary in order to provide the services, including but not limited to, the provision by Buyer of operating procedures that Buyer will utilize for any service provided under this Services Agreement.

Buyer's Obligation to Cooperate. Buyer agrees to cooperate and to cause the Company to cooperate with Seller to the extent reasonably required after the Closing Date in connection with (i) the preparation, filing, amendment and execution of all income tax returns and other tax documents with respect to any taxable period of the Company ending on or before the Closing Date, (ii) contests concerning the application of any tax or the tax due for any such period and (iii) audits and other proceedings conducted by taxing authorities with respect to any such period. Buyer shall retain or cause the Company for all taxable periods and portions thereof ending on or before Closing Date (except for books or records not in the possession of the Company) until the expiration of the applicable statute of limitations (giving effect to any and all extensions and waivers) and to abide by, or cause compliance with, all record retention agreements entered into by or on behalf of the Company with any taxing authority.
