BUYER'S EXPERIENCE. BUYER (i) IS IN THE BUSINESS OF SEEKING OR ACQUIRING, BY PURCHASE OR LEASE, GOODS OR SERVICES FOR COMMERCIAL OR BUSINESS USE, (ii) HAS KNOWLEDGE AND EXPERIENCE IN FINANCIAL AND BUSINESS MATTERS THAT ENABLE IT TO EVALUATE THE MERITS AND RISKS OF THE TRANSACTIONS CONTEMPLATED HEREBY AND (iii) IS NOT IN A SIGNIFICANTLY DISPARATE BARGAINING POSITION. BUYER ACKNOWLEDGES AND AGREES THAT BUYER, IN MAKING SUCH INVESTIGATION, ANALYSIS AND EVALUATION OF THE ASSETS, THE LIABILITIES AND OBLIGATIONS TO BE ASSUMED BY BUYER HEREUNDER, THE OPERATIONS, BUSINESS AND PROSPECTS RELATING TO THE ASSETS AND SUCH LIABILITIES AND OBLIGATIONS, IS NOT RELYING ON ANY INFORMATION, INVESTIGATION, ANALYSIS OR EVALUATION PROVIDED BY SELLER IN CONNECTION WITH THIS TRANSACTION (EXCEPT FOR THE REPRESENTATIONS AND WARRANTIES OF SELLER SET FORTH HEREIN AND IN THE INSTRUMENTS TO BE DELIVERED BY SELLER AT THE CLOSING) BUT INSTEAD IS RELYING ON ITS OWN INVESTIGATION, ANALYSIS, AND ASSESSMENT BASED ON BUYER’S OWN ABILITIES AND SKILLS TO OPERATE THE ASSETS.
BUYER'S EXPERIENCE. Buyer and its officers have such knowledge and experience in financial and business matters that it and they are capable of evaluating the merits and risks of their investment in the Shares and that Buyer and its officers have the financial ability to purchase the Shares without securing any purchase money financing with the assets of the Company. Nothing contained in the preceding sentence is intended to nor shall be deemed to limit in any manner Buyer's ability or right to secure any purchase money financing desired by Buyer with the Shares upon the consummation of the purchase of the Shares by Buyer.

  • Previous Experience 31.01 New employees will be classified according to previous comparable experience for the purpose of establishing wage rates. The Co-operative shall not be required to recognize previous experience of new employees who have not worked in the same or similar business in the past two (2) years. Recognized credit for previous experience shall be applicable to qualifying employees commencing with the first working day following completion of said employee's probationary period.

  • Experience of the Purchaser The Purchaser, either alone or together with its representatives, has such knowledge, sophistication and experience in business and financial matters so as to be capable of evaluating the merits and risks of the prospective investment in the Securities, and has so evaluated the merits and risks of such investment. The Purchaser is able to bear the economic risk of an investment in the Securities and, at the present time, is able to afford a complete loss of such investment.

  • Related Experience Previous experience related to the duties associated with the position.

  • Experience A minimum of 1 year of IT work experience in computer systems or support with demonstrated working knowledge of basic hardware and software products and problem solving/troubleshooting skills.

  • Teaching Experience Teaching experience will be credited on a year-for-year basis for each full-time teaching year or equivalent. Acceptable teaching experience includes pre-college, college, and university teaching.

  • Education, Training and Experience Grade 12 and two years' recent related experience or an equivalent combination of education, training and experience.

  • Evaluators A. An evaluator must be a credentialed contracted employee of the district which would include the building administrators and the central administrative staff.

  • Investment Experience Holder understands that the purchase of this Warrant and its underlying securities involves substantial risk. Holder has experience as an investor in securities of companies in the development stage and acknowledges that Holder can bear the economic risk of such Holder’s investment in this Warrant and its underlying securities and has such knowledge and experience in financial or business matters that Holder is capable of evaluating the merits and risks of its investment in this Warrant and its underlying securities and/or has a preexisting personal or business relationship with the Company and certain of its officers, directors or controlling persons of a nature and duration that enables Holder to be aware of the character, business acumen and financial circumstances of such persons.
