Authorization to Enter Agreement. By execution of this Agreement and the signatures shown below, each party certifies that the person executing this Agreement on its behalf is fully authorized to act on its behalf and bind the party as to all matters contained in this Agreement.
Authorization to Enter Agreement. The undersigned representatives of DuPont represent that they are fully authorized to enter into and execute this Agreement on behalf of DuPont. Settlement Class Counsel represent that they are fully authorized to conduct settlement negotiations with Counsel for DuPont on behalf of Class Representatives and Class Members and to enter into and execute this Agreement on their behalf, subject to approval by the MDL Court pursuant to Fed. R. Civ. P. 23(e).
Authorization to Enter Agreement. Developer has the full right and power to enter into this Agreement and to grant the exclusive rights in and to the website developed by Developer, and related content included in said website, to Client.
Authorization to Enter Agreement. If Concessionaire signs this Agreement as a corporation, each of the persons executing this Agreement on behalf of Concessionaire warrants to COUNTY that Concessionaire is a duly authorized and existing corporation, that Concessionaire has full right and authority to enter into this Agreement, and that each and every person signing on behalf of Concessionaire is authorized to do so. Upon COUNTY's request, Concessionaire will provide evidence satisfactory to COUNTY confirming these representations.
Authorization to Enter Agreement. The Parties warrant and represent that they are authorized to take all appropriate action required or permitted to be taken by such Parties pursuant to this Agreement, to effectuate its terms, and to execute any other documents required to effectuate the terms of this Agreement. The Settlement Class Representative further warrants and represents that he has not designated, hypothecated, transferred, or otherwise granted any interest in the Released Claims to any other person or entity. The Parties and their counsel will cooperate with each other and use their best efforts to effect the implementation of the Settlement. In the event the Parties are unable to reach agreement on the form or content of any document needed to implement the Settlement, or on any supplemental provisions that may become necessary to effectuate the terms of the Settlement embodied in this Agreement, the Parties shall mediate the disagreement before Judge Xxxxxx X. Xxxxx. The Parties shall not seek the Court’s intervention until they have exhausted the mediation process.
Authorization to Enter Agreement. 1. The undersigned represent that they are fully authorized to enter into this Agreement on behalf of the Party for whom they have signed.
Authorization to Enter Agreement. The undersigned representatives of BASF and Nanophase covenant and represent, respectively, that each is fully authorized to enter into and to execute this Agreement on behalf of their respective clients.
Authorization to Enter Agreement. Each party to this Agreement represents and warrants to all other parties that the person or entity executing this Agreement on its behalf is expressly authorized to do so and that to the extent that resolutions or other formal actions are required to authorize the party to enter into this Agreement, such resolutions have been made or such formal actions have been taken.
Authorization to Enter Agreement. The undersigned representatives of Voluntary Dismissal Defendants represent that they are fully authorized to enter into and to execute this Agreement on behalf of Voluntary Dismissal Defendants. Class Plaintiffs’ Interim Co-Lead Counsel, on behalf of the Class Plaintiffs, represent that they are, subject to Court approval, expressly authorized to take all action required or permitted to be taken by or on behalf of this Class pursuant to this Agreement to effectuate its terms and to enter into and execute this Agreement and any modifications or amendments to the Agreement on behalf of the Class that they deem appropriate.
Authorization to Enter Agreement. Each party specifically represents and warrants that this Agreement constitutes a legal, valid, and binding obligation of such Party. Each signatory to this Agreement on behalf of a Party specifically represents and warrants that he or she has full authority to enter into this Agreement on behalf of such Party. The State of Alabama specifically represents and warrants that it has concluded that the terms of this Agreement are fair, reasonable, adequate, and in the public interest, and that it has satisfied all conditions and taken all actions required by law in order to validly enter into this Agreement. The State of Alabama specifically represents and warrants that, other than the claims asserted in the Alabama AG Action and the Other Alabama Opioid Actions, it has no interest (financial or otherwise) in any other claim against any Releasee related to the Covered Conduct.
