Assumed Receipt. (a) Where an amount is or is required to be paid to the Interim Facility Agent under any Interim Document for the account of another person (the Payee), the Interim Facility Agent is not obliged to pay that amount to the Payee until the Interim Facility Agent is satisfied that it has actually received that amount.
Assumed Receipt. Where an amount is to be paid under any Senior Finance Document for the account of another person, the Facility Agent will not be obliged to pay that amount to that person until it is satisfied that it has actually received that amount. If the Facility Agent nonetheless pays that amount to that person and the Facility Agent had not in fact received that amount, then that person will on request refund that amount to the Facility Agent. That person will be liable:
Assumed Receipt. Where a sum is to be paid under any Senior Finance Document for the account of another person, neither Administrative Agent will be obliged to make any such sum available to that person until it has been able to establish to its satisfaction that it has actually received such sum, but if it does so and it proves to be the case that it had not actually received the sum it paid out, then such person will on request ensure that the amount so made available is refunded to such Administrative Agent and such person will be liable first to pay to such Administrative Agent interest on the amount in question at the rate determined by such Administrative Agent (acting reasonably) to be equal to the cost to such Administrative Agent of funding such amount for the period from payment out by such Administrative Agent until refund to such Administrative Agent thereof and second to indemnify such Administrative Agent against any additional loss it may have suffered or incurred by reason of it having paid out such sum prior to it having received the same.

Where a sum is to be paid under any Finance Document for the account of another person, the Facility Agent will not be obliged to make any such sum available to that person until it has been able to establish to its satisfaction that it has actually received such sum, but if it does so and it proves to be the case that it had not actually received the sum it paid out, then such person will on request ensure that the amount so made available is refunded to the Facility Agent and such person will be liable (a) to pay to the Facility Agent interest on the amount in question at the rate determined by the Facility Agent to be equal to the cost to the Facility Agent of funding such amount for the period from payment out by the Facility Agent until refund to the Facility Agent thereof and (b) to indemnify the Facility Agent against any additional cost or loss it may have suffered or incurred by reason of it having paid out such sum prior to it having received the same.
