Mortgage Payments Received After Transfer Date. The amount of any related Monthly Payments received by the Seller after the related Transfer Date shall be forwarded to the Purchaser by overnight mail within one (1) Business Day following the date of receipt. The Seller shall notify the Purchaser of the particulars of the payment, which notification requirement shall be satisfied if the Seller forwards with its payment sufficient information to permit appropriate processing of the payment by the Purchaser. The Seller shall assume full responsibility for the necessary and appropriate legal application of such Monthly Payments received by the Seller after the related Transfer Date with respect to related Mortgage Loans then in foreclosure or bankruptcy; provided, for purposes of this Agreement, necessary and appropriate legal application of such Monthly Payments shall include, but not be limited to, endorsement of a Monthly Payment to the Purchaser with the particulars of the payment such as the account number, dollar amount, date received and any special Mortgagor application instructions and the Seller shall comply with the foregoing requirements with respect to all Monthly Payments received by it after the related Transfer Date.

The Seller shall cause the Originator to assume full responsibility for the necessary and appropriate legal application of such Monthly Payments received by the Originator after the Transfer Date with respect to related Mortgage Loans then in foreclosure or bankruptcy; provided, for purposes of this Agreement, necessary and appropriate legal application of such Monthly Payments shall include, but not be limited to, endorsement of a Monthly Payment to the Purchaser with the particulars of the payment such as the account number, dollar amount, date received and any special Mortgagor application instructions and the Seller shall comply with the foregoing requirements with respect to all Monthly Payments received by the it after the Transfer Date.

For a period of sixty days after the Transfer Date any related Monthly Payments received by the Servicer shall be forwarded to the Purchaser by overnight mail on the date of receipt. After the initial sixty day period such payments may be delivered by regular mail or such other method(s) as may be agreed to by the parties. The Servicer shall notify the Purchaser of the particulars of the payments, which notification requirement shall be satisfied if the Servicer forwards with its payment sufficient information to permit appropriate processing of the payment by the Purchaser.

The Owner shall use its Best Efforts to cause the Prior Servicer to forward the amount of any Monthly Payments received by the Prior Servicer after the related Transfer Date to the Servicer by overnight mail on the date of receipt. The Owner shall use its Best Efforts to cause the Prior Servicer to notify the Servicer of the particulars of the payment, which notification requirement shall be satisfied if the Prior Servicer forwards with its payment sufficient information to permit appropriate processing of the payment by the Servicer. The Owner shall use its Best Efforts to cause the Prior Servicer to assume full responsibility for the necessary and appropriate legal application of Monthly Payments received by the Prior Servicer after the related Transfer Date with respect to Mortgage Loans then in foreclosure or bankruptcy; provided, for purposes of this Agreement, necessary and appropriate legal application of such Monthly Payments shall include, but not be limited to endorsement of a Monthly Payment to the Servicer with the particulars of the payment such as the account number, dollar amount, date received and any special Mortgagor application instructions.
Mortgage Payments Received After Transfer Date. The amount of any monthly payments received by the Servicer after the Transfer Date shall be forwarded to the Owner by overnight mail on the date of receipt. The Servicer shall notify the Owner of the particulars of the payment, which notification requirement shall be satisfied if the Servicer forwards with its payment sufficient information to permit appropriate processing of the payment by the Owner.
Mortgage Payments Received After Transfer Date. The Seller will deliver to the Buyer by overnight courier each Mortgage Loan Payment received by the Seller each day during the thirty (30)-day period following each applicable Transfer Date. The Seller will deliver to the Buyer by first class mail each Mortgage Loan Payment received by the Seller each day after the applicable thirty (30)-day period has ended. Each Mortgage Loan Payment will be accompanied by: (a) an endorsement assigning such payment to the Buyer, and (b) information sufficient to permit the Buyer to process each such payment. With respect to Mortgage Loan Payments for Mortgage Loans accepted by the Seller at an Affiliate branch bank, the Seller shall deliver to the Buyer within twenty-four (24) hours after receipt of such payment (a) an electronic file detailing such Mortgage Loan Payments in a format mutually acceptable to the parties; and (b) a wire transfer in the amount of such Mortgage Loan Payments, in immediately available funds. If any such Affiliate branch bank misdirects such a Mortgage Loan Payment, the Seller shall make the Buyer whole in the amount of any such misdirected Mortgage Loan Payment within five (5) Business Days after receipt of proof of payment from the Mortgagor.
Mortgage Payments Received After Transfer Date. The Owner ---------------------------------------------- shall cause the Primary Servicer to endorse any Monthly Payments received by the Primary Servicer after the related Transfer Date directly to the Special Servicer with respect to any Transferred Mortgage Loan and shall cause the Primary Servicer to forward any such endorsed Monthly Payment to the Special Servicer by overnight mail on the date of receipt. The Owner shall cause the Primary Servicer to notify the Special Servicer of the particulars of the payment, which notification requirement shall be satisfied if the Primary Servicer forwards with its payment sufficient information to permit appropriate processing of the payment by the Special Servicer. The Owner shall cause the Primary Servicer to assume full responsibility for the necessary and appropriate legal application of Monthly Payments received by the Primary Servicer after the related Transfer Date with respect to Transferred Mortgage Loans then in foreclosure or bankruptcy; provided, for purposes of this Agreement, necessary and appropriate legal application of such Monthly Payments shall include, but not be limited to endorsement of a Monthly Payment to the Special Servicer with the particulars of the payment such as the account number, dollar amount, date received and any special Mortgagor application instructions.
Mortgage Payments Received After Transfer Date. The amount of any Mortgage payments received by Seller on or after the Transfer Date shall be forwarded to Purchaser in the form received with any necessary endorsements by overnight mail within one (1) Business Day of the date of receipt, for a period of sixty (60) days after the Transfer Date, and thereafter by first class mail within one (1) Business Day of the date of receipt. Seller will forward with such payments sufficient information to permit processing of the payment by Purchaser.
Mortgage Payments Received After Transfer Date. Except as provided below for late payments, the Seller shall forward by overnight carrier for sixty (60) days following applicable Transfer Date, and thereafter by regular mail to the Purchaser the amount of any Monthly Payments and correspondence relating to the Mortgage Loans received by the Seller after the Transfer Date no later than the Business Day following the date of receipt. The Seller shall notify the Purchaser of the particulars of the payment, which notification requirement shall be satisfied if the Seller forwards with its payment sufficient information to permit appropriate processing of the payment by the Purchaser. The Seller assumes full responsibility for the delivery of Monthly Payments received by it after the Transfer Date for a period not to exceed sixty (60) days. Thereafter any payments received by Seller shall be returned to borrower. Such Monthly Payments shall be endorsed to the Purchaser and provide the particulars of the payment such as the Purchaser’s account number, dollar amount, date received and any special Mortgagor application instructions.
