ASSIGNMENT AND TRANSFER OF MEMBERSHIP AND MEMBERSHIP STATUS. Member may not assign or delegate any of its rights or obligations under this Agreement or transfer Member’s membership to any other entity without SDLC’s prior written consent. Any attempted assignment or transfer in violation of this provision will be null and void. If SDLC agrees to Member’s assignment of this Agreement, in order for the assignment and transfer to be effective, the assignee entity must agree to abide by the terms of this Agreement and assume all of Member’s obligations under this Agreement. In the event a Member merges with, or is acquired by, a non-member, that non-Member is subject to, and must honor, this Agreement and other terms and conditions of membership.

ASSIGNMENT AND TRANSFER OF MEMBERSHIP AND MEMBERSHIP STATUS. Company may not assign or delegate any of its rights or obligations under this Agreement or the Membership Agreements or transfer Company’s membership or membership status (e.g., Associate-level status) to any other entity, including in connection with a merger, acquisition, sale of assets, corporate reorganization, or other transaction or change of control, without Bluetooth SIG’s prior written consent and any attempted assignment or transfer in violation of this Section will be null and void. If Bluetooth SIG consents to Company’s assignment of this Agreement and the Membership Agreement and a transfer of Company’s membership or membership status to another entity (“Succeeding Entity”), in order for the assignment and transfer to the Succeeding Entity to be effective the Succeeding Entity must, in writing, agree to assume all of Company’s obligations under this Agreement and the Membership Agreements and to be bound by and comply with this Agreement and the Membership Agreements.

  • Transfer of Membership Membership shall not be transferred except with the approval and consent of the Board of Managers and in accordance with the Capital Units Transfer System.

You consent to the jurisdiction of the Center. Any discipline imposed by the Center or USA Gymnastics extends to your participation in all aspects of the Olympic Movement. You agree that any disciplinary measure, whether interim or final, whether imposed before or after the date of this Agreement, whether expired or in effect, may be posted on our website or otherwise publicly published and may include information identifying you and describing the misconduct alleged. You authorize USA Gymnastics and its members to disclose, in good faith, any information or honestly held opinions about you, including without limitation any membership records, USA Gymnastics SafeSport or Center information, or other disciplinary information, with any current or potential employer of yours. You further agree that USA Gymnastics may disclose any information provided by, or about, you as USA Gymnastics determines is reasonably necessary to comply with any law, regulation, legal process, or any request by any governmental body or agency, the Center, or the United States Olympic and Paralympic Committee (“USOPC”). TO THE MAXIMUM EXTENT ALLOWED BY LAW, YOU FOREVER RELEASE AND DISCHARGE USA GYMNASTICS AND/OR ITS MEMBERS FROM ANY AND ALL LOSS, LIABILITY, DAMAGE OR CLAIM OF ANY KIND OR NATURE, WHETHER KNOWN OR UNKNOWN, WHETHER IN LAW OR IN EQUITY, WHETHER NOW EXISTING OR ACCRUING IN THE FUTURE, ARISING OUT OF OR IN CONNECTION WITH ANY INFORMATION OR OPINIONS DISCLOSED IN ACCORDANCE WITH THIS SECTION.
