Appointment of Security Agent and Supplemental Security Agents. The parties hereto acknowledge and agree, and each Holder by accepting the Notes acknowledges and agrees that the Issuers hereby appoints Citibank, N.A., London Branch to act as Security Agent hereunder, and Citibank, N.A., London Branch accepts such appointment. Each Holder by accepting the Notes, authorizes and expressly directs the Trustee and the Security Agent on such Holder’s behalf to enter into the Intercreditor Agreement and any Additional Intercreditor Agreement and the Trustee and the Holders acknowledge that the Security Agent will be acting in respect to the Security Documents and the security granted thereunder on the terms outlined therein (which terms in respect of the rights and protections of the Security Agent in the event of an inconsistency with the terms of this Indenture, will prevail), including, without limitation, Schedule 6 of the Intercreditor Agreement.

Each Holder, by accepting the Notes, authorizes and expressly directs the Trustee and the Security Agent on such Holder’s behalf to enter into the Intercreditor Agreement, the RSA Intercreditor Agreement and any additional intercreditor agreement, and, in the case of the Security Agent, the Security Documents and the Trustee and the Holders acknowledge that the Security Agent will be acting in respect to the Security Documents and the security granted thereunder on the terms outlined therein (which terms, in respect of the rights, delegations and protections of the Security Agent in the event of an inconsistency with the terms of this Indenture, will prevail), including, without limitation, Schedule 5 of the Intercreditor Agreement.

The parties hereto acknowledge and agree, and each Holder by accepting the Notes acknowledges and agrees, that the Issuer hereby appoints JPMorgan Chase Bank, N.A. to act as Security Agent hereunder and as Security Agent and mortgage trustee in respect of any mortgage over a Pledged Vessel flagged in the Republic of the Xxxxxxxx Islands and other collateral related thereto, and JPMorgan Chase Bank, N.A. accepts such appointment. Each Holder by accepting the Notes acknowledges and agrees (i) not to assert any claim based on any conflict that may arise as a result of the Security Agent acting in other capacities, including as agent and lender under the ARCA, and (ii) JPMorgan Chase Bank, N.A. shall have no obligation to share any information it receives in its capacity as agent under the ARCA with the Trustee and the Holders. The Trustee and the Holders acknowledge that the Security Agent will be acting in respect to the Security Documents and the security granted thereunder on the terms outlined therein (which terms in respect of the rights and protections of the Security Agent, in the event of an inconsistency with the terms of this Indenture, will prevail).

The Trustee and the Holders acknowledge that the Security Agent will be acting in respect to the Security Documents and the security granted thereunder on the terms outlined therein and in the Intercreditor Agreement. Notwithstanding anything to the contrary in any Security Document, in the event of any conflict between any provision set forth in any Security Document and any provision of this Indenture that affects any rights, privileges, protections and indemnities in favor of the Security Agent, such provision set forth in this Indenture shall prevail. It is recognized that among other things, in case of litigation under this Indenture or the Security Documents, and in particular in case of the enforcement thereof on default, or in the case the Security Agent deems that by reason of any present or future law of any jurisdiction it may not exercise any of the powers, rights or remedies herein granted to the Security Agent or hold title to the properties, in trust, as herein granted or take any action which may be desirable or necessary in connection therewith, it may be necessary that the Security Agent appoint an individual or institution as a separate or co-agent. The following provisions of this Section 11.15 and Section 11.17 are adopted therefor.

Each Lender authorizes and expressly directs the Administrative Agent and the Security Agent on such Lender’s xxxxxf to enter into the Intercreditor Agreement and any Additional Intercreditor Agreement and the Administrative Agent and the Lenders acknowledge that the Security Agent will be acting in respect to the Security Documents and the security granted thereunder on the 157 terms outlined therein (which terms in respect of the rights and protections of the Security Agent, in the event of an inconsistency with the terms of this Agreement, will prevail).

Indenture Page 118 that affects any rights, privileges, protections and indemnities in favor of the Security Agent, such provision set forth in this Indenture shall prevail. Notwithstanding anything to the contrary in any Security Document or this Indenture, in the event of any conflict between any provision set forth in any Security Document or this Indenture on one hand and the Intercreditor Agreement on the other hand that affects any rights, privileges, protections and indemnities in favor of the Security Agent, such provision set forth in the Intercreditor Agreement shall prevail.
