Applicability of Restrictions on Transfer. Notwithstanding anything in this Agreement to the contrary, the restrictions on transfer set forth in this Section 4 shall not apply to any shares of Common Stock acquired or received by a Stockholder after the closing of the IPO (other than pursuant to the LLC Agreement), except as a result of a stock split, dividend, or similar transaction on shares of Common Stock held as of the IPO.

Applicability of Restrictions on Transfer. The restrictions on Transfer set forth in this Section 3.2 shall begin on the Effective Date and terminate on the Parthenon Non-Exclusive Date; provided that, notwithstanding anything in this Agreement to the contrary, the restrictions on Transfers set forth in this Section 3.2 shall not apply to any shares of Class A Common Stock acquired or received by Xxxxx or a Management Stockholder after the closing of the IPO (including pursuant to any employee benefit plan of the Company) and not received in connection with an Exchange. Notwithstanding anything to the contrary contained herein, no Stockholder may Transfer any share of Class A Common Stock to the extent such share is not fully vested at the time of such Transfer.
Applicability of Restrictions on Transfer. The restrictions on transfer set forth in this Section 2 shall begin on the date of the Conversion and continue until the termination of this Agreement in accordance with Section 6 hereof; provided that, notwithstanding anything in this Agreement to the contrary (i) for any Management Holder who is an individual person, the restrictions on transfer set forth in this Section 2 shall no longer apply to Restricted Common Stock that was originally issued to a Management Holder pursuant to the Conversion once such Management Holder is no longer employed by the Company or any of its subsidiaries, and (ii) the restrictions on transfer set forth in this Section 2 shall not apply to any shares of Common Stock acquired or received by a Management Holder after the closing of the IPO and not issued in the Conversion (other than shares of Common Stock acquired upon the conversion or exchange of Restricted Common Stock received by such Management Holder in connection with the Conversion).

  • Restrictions on Transfer (a) The Preferred Stock and the Registrable Securities shall not be sold, pledged, or otherwise transferred, and the Company shall not recognize and shall issue stop-transfer instructions to its transfer agent with respect to any such sale, pledge, or transfer, except upon the conditions specified in this Agreement, which conditions are intended to ensure compliance with the provisions of the Securities Act.
