Management Member definition

Management Member means any Member that is an employee of the Company or any of its Subsidiaries.

Management Member has the meaning given in the introductory paragraph to this Agreement. A Management Member shall be deemed not to be a “manager” within the meaning of the Delaware Act (except to the extent Section 4.1(b)(i) applies).

Management Member has the meaning set forth in Section 3.6(a).

Examples of Management Member in a sentence

• Each of the Sponsor Members shall be considered a third party beneficiary of the representations, warranties and agreements of the Management Members made in this Agreement, entitled to take any action against any Management Member as if such Sponsor Member were the Company hereunder.

• Neither the Company nor any Management Member shall assign all or any part of this Agreement without the prior written consent of the other and the consent of the Board.

• Any amendment to this Agreement shall only be effective if evidenced by a written instrument signed by the Company; provided, that any such amendment that is materially adverse to the economic interests of a Management Member shall only be effective if such Management Member consents thereto in writing.

• Nothing contained in this Agreement shall be deemed to obligate the Company or any Subsidiary to employ or retain any Management Member in any capacity whatsoever or to prohibit or restrict the Company (or any Subsidiary) from terminating the Services of the Management Member at any time or for any reason whatsoever, with or without Cause.

• The Grantee shall have all the rights of a Management Member with respect to the vested and unvested Units, as applicable, as provided in the LLC Agreement, subject to the restrictions in this Agreement and the Plan.

Management Member has the meaning given such term in the Preamble.

Management Member means any Member who is an employee of the Company or any of its Subsidiaries. In no event shall any DLJMB Member be deemed to be a Management Member.

Management Member means Xxxxxxx and any other Member who is an employee of the Company so long as Xxxxxxx or such other employee, as applicable is employed by the Company or serves on the Executive Board.

Management Member and “Management Members” are defined in the introductory paragraph.

Management Member means each Member designated as a Management Member in Schedule B hereto, as updated from time to time, and any Permitted Transferee thereof to whom Units are transferred in accordance with this Agreement.
