Amount of Cultivation Taxes. Pursuant to Chapter 3.33 or 3.35 of the DHSMC, as applicable, Owner shall pay City the annual Cultivation Taxes of $25.00 per square foot for the first 3,000 square feet and then $10.00 per square foot thereafter. "In connection with the cultivation" of marijuana, "space" shall not include the walkways, vertical space or space adjacent to where the plants are grown which are not used for growing, planting, seeding, germinating, lighting, warming, cooling, aerating, fertilizing, watering, irrigating, topping, pinching, cropping, curing or drying marijuana or storing any products, supplies or equipment related to any such activities. With respect to curing or storing or marijuana, "in connection" shall mean the space utilized for the curing and storing of marijuana only and not the adjacent walkways or space unless such walkways or space is being used for growing, planting, seeding, germinating, lighting, warming, cooling, aerating, fertilizing, watering, irrigating, topping, pinching, cropping, or drying marijuana or storing any products, supplies or equipment related to any such activities.

Amount of Cultivation Taxes. Pursuant to Chapter 3.33 or 3.35 of the DHSMC, as applicable, Owner shall pay City the annual Cultivation Taxes of $25.00 per square foot for the first 3,000 square feet and then $10.00 per square foot for the remaining Space utilized in connection with the cultivation of marijuana. With respect to curing or storing or marijuana, "in connection" shall mean the Space utilized for the curing and storing of marijuana only and not the adjacent walkways or Space unless such walkways or Space is being used for growing, planting, seeding, germinating, lighting, warming, cooling, aerating, fertilizing, watering, irrigating, topping, pinching, cropping, or drying marijuana or storing any products, supplies or equipment related to any such activities. Aside from the foregoing, the City shall not modify the Cultivation Taxes rate during the Term of this Agreement, unless the City decreases the Cultivation Tax rate or repeals the Cultivation Tax. In either such case, Owner shall be obligated to pay the decreased Cultivation Taxes rate, or no Cultivation Tax at all, if the City repeals the Cultivation Taxes. DHSMC § 3.33.005 specifies the amount of the Cultivation Taxes for Adult-Use Marijuana, and if the City adopts and enforces Chapter 3.33 of the DHSMC. Both Cultivation Taxes impose the same tax rate. The Parties acknowledge and agree that Owner may choose to cultivate, dispense, test, manufacture or distribute marijuana for Adult-Use. In such a situation, City shall only collect one of the two Cultivation Taxes, depending upon whether the marijuana is cultivated for medical or Adult-Use purposes. Notwithstanding the foregoing, the Cultivation Tax initially shall be paid at the first Payment Date which occurs at least six (6) months after the initial harvest for each building or premises of the Project occurs.

If, by operation of law or otherwise, that portion of amounts payable hereunder represented by Foreign Taxes withheld or deducted cannot be paid or remitted, then amounts payable under this Agreement shall be increased to such amounts as are necessary to yield and remit to such Underwriter amounts which, after deduction of all Foreign Taxes (including all Foreign Taxes payable on such increased payments) equal the amounts that would have been payable if no Foreign Taxes had been so withheld or deducted (the “Additional Amount”); provided, however, that no Additional Amount with respect to any payment or compensation to such Underwriter hereunder shall be required to be paid in the event that such payment or compensation is subject to such Foreign Tax by reason of such Underwriter being connected with the jurisdiction of the Taxing Authority other than by reason of merely receiving payment hereunder.

  • Transaction Taxes Fund is responsible for all taxes, levies, duties, and assessments levied on Services purchased under this Agreement (collectively, “Transaction Taxes”). Computershare is responsible for collecting and remitting Transaction Taxes in all jurisdictions in which Computershare is registered to collect such Transaction Taxes. Computershare shall invoice Fund for such Transaction Taxes that Computershare is obligated to collect upon the furnishing of Services. Fund shall pay such Transaction Taxes according to the terms in Section 7.3. Computershare shall timely remit to the appropriate governmental authorities all such Transaction Taxes that Computershare collects from Fund. To the extent that Fund provides Computershare with valid exemption certificates, direct pay permits, or other documentation that exempts Computershare from collecting Transaction Taxes from Fund, invoices issued for Services provided after Computershare’s receipt of such certificates, permits, or other documentation will not reflect exempted Transaction Taxes.
