Payment of Marijuana Taxes. 5.5.1 Amount of Marijuana Taxes. Pursuant to Chapter 3.33, 3.34, 3.35, 3.37 of the DHSMC, as applicable, Owner shall pay City the annual Marijuana Taxes of $25.00 per square foot for the first 3,000 square feet and then $10.00 per square foot for the remaining Space utilized in connection with the cultivation of marijuana. With respect to curing or storing of marijuana, "in connection" shall mean the Space utilized for the curing and storing of marijuana only and not the adjacent walkways or Space unless such walkways or Space is being used for growing, planting, seeding, germinating, lighting, warming, cooling, aerating, fertilizing, watering, irrigating, topping, pinching, cropping, or drying marijuana or storing any products, supplies or equipment related to any such activities. During the time that Blackstar Industrial Properties, LLC or any of its related entities wholly controlled and owned by Blackstar Industrial Properties, LLC, the City shall not modify the Marijuana Taxes rates during the Term of this Agreement, although the Marijuana Taxes rates may be modified if the City decreases the Marijuana Taxes rates or repeals either or both of the Marijuana Taxes. As an example of Blackstar Industrial Properties, LLC, Exhibit “E” is attached hereto to show the corporate ownership. In either such case, Owner shall be obligated to pay the decreased Marijuana Taxes rates, or no Marijuana Taxes at all, if the City repeals the Marijuana Taxes. DHSMC § 3.33.005 specifies the amount of the Cultivation Taxes for Adult-Use Marijuana, pursuant to Chapter 3.33 of the DHSMC, as such, both Marijuana Taxes impose the same tax rate which shall be imposed by the City. The Parties acknowledge and agree that in the future, Owner may choose to cultivate, test, manufacture or distribute marijuana for Adult-Use, in compliance with all applicable laws, including local laws. In addition, the City may increase the Marijuana Taxes, only after ten (10) years after the Effective Date, if the registered voters of the City approve an increase in the rate of the Marijuana Taxes, with such increase imposed on all properties throughout the City. If the registered voters of the City approve an increase in the rate of the Marijuana Taxes, then the Parties shall meet and confer to attempt to agree upon an increase in the rate of the Marijuana Taxes, with such agreed-upon increase to be approved by the City Council.   • Payment of Sales, Use or Similar Taxes All sales, use, transfer, intangible, recordation, documentary stamp or similar Taxes or charges, of any nature whatsoever, applicable to, or resulting from, the transactions contemplated by this Agreement shall be borne by the Sellers.

  • Sales and Transfer Taxes Seller and Purchaser shall be equally responsible for the payment of all transfer, recording, documentary, stamp, sales, use (including all bulk sales Taxes) and other similar Taxes and fees (collectively, the “Transfer Taxes”), that are payable or that arise as a result of the P&A Transaction, when due. Seller shall file any Tax Return that is required to be filed in respect of Transfer Taxes described in this Section 8.3 when due, and Purchaser shall cooperate with respect thereto as necessary.
