Aggie Square - Materials. Aggie Square will host a signature bosque of trees, roughly spaced at 24’-6” on center in the E-W direction and 26’ on center in the N-S direction, to provide comfort and essential shade for both passive and programmed activities. The bosque frames an open space, roughly 80’x54’ in size to create a signature space - a cloistered series of experiences shaded under the rich canopy enhancing the daily life of the square. At the center of the Bosque is a clearing in the trees that serves as a principal event space, anchoring the greater campus community life. The ground plane of Aggie Square is a continuous field of hardscape paving (a mixture of stone, brick or concrete pavers and cast in place concrete) that would connect the Xxxxx Xxxxxx Institute for Edible Education (in the base of the Housing building) on the western edge of the Square to the Innovation Hall (in the base of LLL) on the eastern edge and extend into the Gallery (located at north end of LLL) towards the East Service Road and Urban Wildlife Preserve beyond. 45th St is to be paved to ensure material continuity across the space. 6’ or 12’ wide bands of permeable, open joint pavers in the E-W direction would be introduced into the paving field to define smaller spaces at the north and south of the plaza as well as encouraging water permeability along the E-W tree axes. Where trees are located, the paving field would be interrupted, minimally and precisely, to allow for tree trunk openings. The ground plane will consist of a subtle material texture and warm color, coordinated with architecture materials and facilitate unhindered movement across Aggie Square. Throughout the Square will be numerous, sturdy furnishings including movable tables and chairs, scattered across the Square to facilitate the flexible use of the space for dining, casual meetings or just relaxing under the dappled light of the tree bosque.

  • Seller Financial Information If requested by Buyer, Seller shall deliver to Buyer (a) within one hundred twenty (120) days following the end of each fiscal year, a copy of Seller’s annual report containing unaudited consolidated financial statements for such fiscal year (or audited consolidated financial statements for such fiscal year if otherwise available) and (b) within sixty (60) days after the end of each of its first three fiscal quarters of each fiscal year, a copy of such Party’s quarterly report containing unaudited consolidated financial statements for such fiscal quarter. In all cases the statements shall be for the most recent accounting period and shall be prepared in accordance with Generally Accepted Accounting Principles; provided, however, that should any such statements not be available on a timely basis due to a delay in preparation or certification, such delay shall not be an Event of Default so long as such Party diligently pursues the preparation, certification and delivery of the statements.

  • Diligence Materials The Company has provided to the Representative and Representative Counsel all materials required or necessary to respond in all material respects to the diligence request submitted to the Company or Company Counsel by the Representative.

  • Due Diligence Review; Information The Company shall make available, during normal business hours, for inspection and review by the Investors, advisors to and representatives of the Investors (who may or may not be affiliated with the Investors and who are reasonably acceptable to the Company), all financial and other records, all SEC Filings (as defined in the Purchase Agreement) and other filings with the SEC, and all other corporate documents and properties of the Company as may be reasonably necessary for the purpose of such review, and cause the Company’s officers, directors and employees, within a reasonable time period, to supply all such information reasonably requested by the Investors or any such representative, advisor or underwriter in connection with such Registration Statement (including, without limitation, in response to all questions and other inquiries reasonably made or submitted by any of them), prior to and from time to time after the filing and effectiveness of the Registration Statement for the sole purpose of enabling the Investors and such representatives, advisors and underwriters and their respective accountants and attorneys to conduct initial and ongoing due diligence with respect to the Company and the accuracy of such Registration Statement. The Company shall not disclose material nonpublic information to the Investors, or to advisors to or representatives of the Investors, unless prior to disclosure of such information the Company identifies such information as being material nonpublic information and provides the Investors, such advisors and representatives with the opportunity to accept or refuse to accept such material nonpublic information for review and any Investor wishing to obtain such information enters into an appropriate confidentiality agreement with the Company with respect thereto.

  • SALES MATERIALS 4.1 LIFE COMPANY will furnish, or will cause to be furnished, to TRUST and ADVISER, each piece of sales literature or other promotional material in which TRUST or ADVISER is named, at least ten (10) Business Days prior to its intended use. No such material will be used if TRUST or ADVISER objects to its use in writing within seven (7) Business Days after receipt of such material.

  • Lost Shareholder Due Diligence Searches and Servicing The Trust hereby acknowledges that USBFS has an arrangement with an outside vendor to conduct lost shareholder searches required by Rule 17Ad-17 under the Securities Exchange Act of 1934, as amended. Costs associated with such searches will be passed through to the Trust as an out-of-pocket expense in accordance with the fee schedule set forth in Exhibit C hereto. If a shareholder remains lost and the shareholder’s account unresolved after completion of the mandatory Rule 17Ad-17 search, the Trust hereby authorizes vendor to enter, at its discretion, into fee sharing arrangements with the lost shareholder (or such lost shareholder’s representative or executor) to conduct a more in-depth search in order to locate the lost shareholder before the shareholder’s assets escheat to the applicable state. The Trust hereby acknowledges that USBFS is not a party to these arrangements and does not receive any revenue sharing or other fees relating to these arrangements. Furthermore, the Trust hereby acknowledges that vendor may receive up to 35% of the lost shareholder’s assets as compensation for its efforts in locating the lost shareholder.
