Agents/Subcontractors. Business Associate will ensure that any agent, including a subcontractor, to whom Business Associate provides XXXX agrees to implement reasonable and appropriate safeguards to protect the confidentiality, integrity, and availability of such EPHI.
Agents/Subcontractors. Business Associate agrees to ensure that any agent and/or subcontractor that creates, receives, maintains or transmits Protected Health Information on behalf of Business Associate agrees in writing to restrictions and conditions at least as stringent as those that apply to Business Associate pursuant to this Agreement with respect to such information. Business Associate agrees that, in the event that Business Associate becomes aware of a pattern of activity or practice 0 f an agent and/or subcontractor that constitutes a material breach or violation by the agent and/or subcontractor of any such restrictions or conditions, Business Associate shall take reasonable steps to cure the breach or end the violation, as applicable, and if such steps are unsuccessful, to terminate the contract or arrangement with such agent and/or subcontractor.
Agents/Subcontractors. Business Associate shall require that any agent, including a subcontractor, to whom it provides Protected Health Information received from, or created or received by Business Associate on behalf of Covered Entity, agrees to essentially the same restrictions and conditions that apply through this Agreement to Business Associate with respect to such Protected Health Information.
Agents/Subcontractors. The Parties agree to ensure that any agent or subcontractor, to whom the Party provides the Information, agrees to the same restrictions and conditions that apply through this Agreement, with respect to such Information.
Agents/Subcontractors. The External Institution may not provide any GPC Data to any agent or subcontractor. Any agent or subcontractor, or the employer of such agent or subcontractor if the agent or subcontractor is an individual, must enter into the appropriate agreement with the GPC Parties.
Agents/Subcontractors. The RHIO shall ensure that its agents, including any subcontractor, to whom the RHIO provides Protected Health Information agree to the restrictions and conditions that apply to the RHIO with respect to such information and implement the safeguards required by Section 2 with respect to electronic Protected Health Information. If the RHIO knows or should know of a material breach or violation by a subcontractor or agent that has created, received, maintained or transmitted such Protected Health Information, the RHIO shall take reasonable steps to cure the breach or end the violation, and if such steps are unsuccessful, it shall terminate the subcontract or relevant agreement, if feasible.
Agents/Subcontractors. Contractor agrees to ensure that its agents, including any subcontractor, to whom it provides PHI received from, or created or received by Contractor on behalf of Covered Entity or RC, agrees to the same restrictions and conditions applicable to Contractor with respect to such information.
Agents/Subcontractors. If Supplier uses any agents or subcontractors in its performance of the Services under this Agreement, Supplier shall (i) first request and obtain Company’s consent to such assistance; (ii) require each such agent or subcontractor to execute a written agreement binding such person to substantially the same terms as set forth in Sections 3, 4 and 5 of this Agreement for the benefit of Supplier; and (iii) obtain all other agreements, assignments and waivers necessary to enable Supplier to carry out the obligations set forth in this Agreement. Company has the right to refuse consent to use a subcontractor or agent in its sole discretion.

Business Associate agrees to ensure any agent or subcontractor who creates, receives, maintains, or transmits PHI on behalf of Business Associate agrees in writing to restrictions and conditions at least as stringent as those applied to Business Associate pursuant to this BAA with respect to such information. Business Associate agrees, in the event Business Associate becomes aware of a pattern of activity or practice of an agent or subcontractor constituting a material breach or violation by the agent or subcontractor of an such restrictions or conditions, Business Associate shall take reasonable steps to cure the Breach or end the violation, as applicable, and if such steps are unsuccessful, to terminate the contract or arrangement with such agent or subcontractor.
Agents/Subcontractors. You agree to ensure that any agents, including any subcontractors that have access to UPMC PHI (whether received from UPMC, or created or received by You or Your agents or subcontractors) on behalf of UPMC) agree to in writing to the restrictions and conditions set forth in the T&Cs with respect to such UPMC PHI.
