Affiliate Subordination Agreements. The Companies shall, simultaneously with the creation of any and all future Debt of any Company to any one or more Affiliates, cause the appropriate Affiliate or Affiliates to execute and deliver to Administrative Agent an agreement, substantially in the form of EXHIBIT H, subordinating the payment of such Debt to the payment of the Obligation.
Affiliate Subordination Agreements. All Affiliate Subordination Agreements, if any, required by Agent under paragraph 7.18.
Affiliate Subordination Agreements. The Loan Parties shall, simultaneously with the incurrence of any and all future Debt of any Loan Party owed to any one or more Affiliates, cause the appropriate Affiliate or Affiliates to execute and deliver to Administrative Agent an Affiliate Subordination Agreement, subordinating the payment of such Debt to the payment of the Obligation.
Affiliate Subordination Agreements. Borrower and each Guarantor shall, simultaneously with the creation of any and all future Debt of Borrower or any Guarantor to any one or more Affiliates, other than any Company, cause the appropriate Affiliate or Affiliates to execute and deliver to Administrative Agent an agreement, substantially in the form of EXHIBIT H, subordinating the payment of such Debt to the payment of the Obligation.
Affiliate Subordination Agreements. Each Company shall, simultaneously with the incurrence of any and all future obligations of such Company owed to any one or more Affiliates that is not already a party to an Affiliate Subordination Agreement, cause the appropriate Affiliate or Affiliates to execute and deliver to Administrative Agent an Affiliate Subordination Agreement, subordinating the payment of such obligation to the payment of the Obligation as provided in the Affiliate Subordination Agreement.
Affiliate Subordination Agreements. At Agent's request, any present and future obligations due by Borrower to its officers, directors or Affiliates (excluding certain ordinary course items such as normal compensation and benefits, travel and expense reimbursements and other similar ordinary course items determined by agreement) shall be subordinate in right of payment and claim to the Obligations, pursuant to definitive subordination agreements executed by Borrower and such other Persons in form satisfactory to Agent.
Affiliate Subordination Agreements. Section 9.27 shall be amended by adding a sentence at the end of such Section which reads as follows: "Notwithstanding the foregoing, Borrower shall not be required to deliver to Administrative Agent such agreement with respect to up to $50,000,000 of Subordinated Debt issued by GPK and GPC, as co- makers, in August, 2001 (or permitted refinancings or conversions thereof), so long as such Subordinated Debt otherwise satisfies the requirements for permitted Subordinated Debt set forth in Section 9.12(k)."
Affiliate Subordination Agreements. See SECTION 2.01. ---------------------------------- AGENT. See the PREAMBLE. ----- ADJUSTED OPERATING CASH FLOW. For any three month period, the ---------------------------- Operating Cash Flow for such period plus the operating cash flow of the Telecommunications Subsidiaries. The determination of "operating cash flow" for any Telecommunications Subsidiary (1) shall be calculated in a manner consistent in all relevant respects with the method used to determine Operating Cash Flow hereunder and (2) shall account for only those items included in the definition of Operating Cash Flow hereunder that are directly attributable to such Telecommunications Subsidiary or assets and the operation thereof.
Affiliate Subordination Agreements. Section 9.27 shall be amended ---------------------------------- by adding a sentence at the end of such Section which reads as follows: "Notwithstanding the foregoing, Borrower shall not be required to deliver to Administrative Agent such agreement with respect to any Subordinated Debt issued on the First Amendment Date (or permitted refinancings or conversions thereof), so long as such Subordinated Debt otherwise satisfies the requirements for permitted Subordinated Debt set forth in Section 9.12(j)."
