Ad hoc Requirements. If a Party is unable to comply with the foregoing [***]-Business Day notice requirement because of a legal obligation or stock exchange requirement to make more rapid disclosure, such Party shall not be in breach of this Agreement but shall in that case give telephone and email notice to a senior executive of the other Party and provide a draft disclosure with as much notice as possible prior to the release of such Public Disclosure. The Parties however acknowledge that for so-called "ad hoc" announcements required under the German Securities Act, no prior notice may be possible.

Ad hoc Requirements. The estimated annual fuel volumes and timescales for notification of a requirement to the Supplier are detailed in the StOR at Annex B. These are in support of current routine requirements within the UK and enduring commitments overseas. The Authority is also committed to providing support to unplanned operations and planned exercises which may require supply of additional product(s) in shorter timescales than those specified. In addition there may also be a requirement to supply product(s) to locations not currently served by the Authority. The Authority reserves the right to fulfil Ad-Hoc requirements by single source, or by competitive tender within reduced timescales as appropriate to the requirement. Change in Law Change in law risk will be borne by the affected party. The Authority shall carry no liability to the Supplier for financial recompense, adjustment to prices or otherwise consequent on a change in law.

The disclosing Party will consider in good faith any comments of the other Party related to such Public Disclosure. The Parties however acknowledge that for so-called “ad hoc” announcements required under the German Securities Act, no prior notice is possible.

  • Reporting Requirements The Company, during the period when the Prospectus is required to be delivered under the 1933 Act or the 1934 Act, will file all documents required to be filed with the Commission pursuant to the 1934 Act within the time periods required by the 1934 Act and the 1934 Act Regulations.

Said additional costs and/or reductions will be those which directly result from the imposition of such requirement or condition on the making or maintaining of such Loans.

  • Compliance with Reporting Requirements The Company is subject to and in full compliance with the reporting requirements of Section 13 or Section 15(d) of the Exchange Act.
