Acts of sub-contractors. It is expressly agreed that any failure by the Supplier to perform or any delay by the Supplier in performing its obligations under this Agreement which results from any failure or delay in the performance of its obligations by any person, firm or company with which the Supplier shall have entered into any contract, supply arrangement, sub-contract or otherwise shall be regarded as a failure or delay due to a Force Majeure Event only in the event that such person, firm or company shall itself be prevented from or delayed in complying with its obligations under such contract, supply arrangement, sub-contract or otherwise as a result of a Force Majeure Event.

Change of law or regulation or market structure Application of this Clause: This Clause 52 applies to: Relevant Change: a Relevant Change which has the following effects: this Agreement or any part of it that becomes invalid, illegal or enforceable or is declared such by a Competent Authority; a Competent Authority refuses (or formally indicates an intention to refuse) to give any authorisation, consent, exemption or other agreement which is necessary for a Party to be able to perform its obligations under this Agreement. A refusal includes: a requirement that this Agreement must be amended; or a requirement that the affected Party give an undertaking as to future conduct; a Competent Authority: formally indicates to a Party that if it continues to perform its obligations under this Agreement the Party may be liable for sanctions under Applicable Law; or requests undertakings as to future conduct from the affected Party to avoid being subject to such sanctions; it becomes impossible to carry out the calculations necessary under this Agreement; or the economic value in participating in this Agreement, is substantially affected by the introduction of any charge, tax or levy imposed on the industry as a whole, (the Relevant Change Effect); and

  • SUB-CONTRACTORS Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.

  • Oversight of Subcontractors In the event that Vendor engages subcontractors or other authorized persons or entities to perform one or more of its obligations under the Master Agreement (including subcontracting hosting of the Protected Data to a hosting service provider), it will require those subcontractors or other authorized persons or entities to whom it will disclose the Protected Data to execute legally binding agreements acknowledging their obligation under Section 2-d of the New York Education Law to comply with all applicable data protection, privacy and security requirements required of Vendor under the Master Agreement and applicable state and federal law and regulations.

  • PAYMENT OF SUBCONTRACTORS The Contractor is obligated to take one of the two following actions within seven days after receipt of payment by the County for work performed by any subcontractor under this Contract:

  • Vendor’s Subcontractors TIPS recognizes that many vendors operate in the open market through the use of subcontractors. For that reason, TIPS permits Vendor to utilize subcontractors as authorized and permitted by the TIPS Member Customer. However, all purchase documents must include: (1) Vendor’s Name, as known to TIPS, and; (2) Vendor’s TIPS Contract Name and Number under which it is making the TIPS Sale. Vendor must report the sale pursuant to the terms herein and Vendor agrees that it is legally responsible for all reporting and fee payment as described herein for TIPS Sales even when subcontractors are utilized. The TIPS Administration Fee is assessed on the amount paid by the TIPS Member to Vendor. The Parties intend that Vendor shall be responsible and for actions of subcontractors during a TIPS Sale. Vendor agrees that it is voluntarily authorizing subcontractors and in doing so, Xxxxxx agrees that it is doing so at its own risk and agrees to protect, indemnify, and hold TIPS harmless in accordance with Sections 14-17 above related to subcontractor TIPS Sales made pursuant to this Agreement or purporting to be made pursuant to this Agreement that may be asserted against Vendor whether rightfully brought or otherwise. The Parties further agree that it is no defense to Vendor’s breach of this Agreement that a subcontractor caused Vendor of breach this Agreement.

  • List of Subcontractors Contractor shall list all Subcontractors, as part of the Quote, as provided for in Attachment A, ordering procedures.
