Xxxxx Consent definition

Xxxxx Consent has the meaning ascribed thereto in Section 2(a) hereof.

Xxxxx Consent means the prior written consent of Xxxxxxx X. Xxxxx and at least two other members of the Xxxxx Family Committee, prior to the Transition Time, and, thereafter, the affirmative vote of two-thirds of the votes of the members of the Xxxxx Family Committee.

More Definitions of Xxxxx Consent

Xxxxx Consent means the consent obtained from Xxxxx Cooling Towers, Inc., consenting to the assignment of the Silverhawk Combined Cycle Equipment Supply Agreement (Contract No. 760200013), dated March 7, 2002, between GenWest and Xxxxx Cooling Towers, Inc., 25% of the rights and obligations under which were assigned to and assumed by SNWA pursuant to the Xxxx of Sale, as amended by Change Order No. 1 and the Settlement Agreement dated May 12, 2004, in the form attached hereto as Exhibit A or otherwise in form and substance reasonably satisfactory to Purchaser and Sellers.

Xxxxx Consent means the consent of the XXXXX as necessary in connection with the (i) subleasing of the Utah Subleases and (ii) pledge and assignment of the Company's interests in such Utah Subleases to the Investor pursuant to the applicable Security Documents as collateral security for the Obligations.

Xxxxx Consent has the meaning specified in Section 4.2(h).
