Subject to the satisfaction of all of the conditions set forth in this Agreement, at the Closing, Buyer shall deliver to the Sellers the Closing Cash less the Working Capital Holdback Amount and the aggregate amount of the Transaction Bonus Payments by wire transfer of immediately available funds to the account or accounts designated in writing by the Sellers at least two (2) business days prior to Closing.
The Working Capital Holdback Amount and the Indemnity Holdback Amount, each shall be retained from the Purchase Price and held by the Escrow Agent in accordance with the percentage allocations set forth on Schedule 2.3(c).
Pursuant to and in accordance with the terms of the Escrow Agreement, the Escrow Agent will release from escrow and deliver to the Purchaser out of the Working Capital Holdback Amount the amount of any Claim made by the Purchaser pursuant to Article 5.1 to the extent that the Purchaser is determined to be entitled to such Claim upon the final resolution thereof.
