As of the Closing Date, the Company shall have duly authorized and reserved for issuance a number of Membership Interests which equals the maximum number of Warrant Interests issuable upon exercise of the Warrants.
Each Holder of an Allowed Warrant Interest shall receive, on the Effective Date as more fully described herein, in full satisfaction, settlement, release, and discharge of and in exchange for such Allowed Warrant Interests, $0.09 per Allowed Warrant Interest.

The Warrant Holder acknowledges that any income or other taxes due from it with respect to the Warrant or the Warrant Interests issuable pursuant to the Warrant shall be the Warrant Holder’s responsibility.
