VCOC Investor definition

VCOC Investor has the meaning set forth in Section 3.3.

VCOC Investor has the meaning set forth in Section 5.1(a).

VCOC Investor means each Principal Investor who is, or who is directly or indirectly substantially owned by an entity who is, intended to qualify as a Venture Capital Operating Company.

• The Company agrees to consider, in good faith, the recommendations of the VCOC Investor or its designated representative in connection with the matters on which it is consulted as described above, recognizing that the ultimate discretion with respect to all such matters shall be retained by the Company and each of the Company Subsidiaries, as the case may be.

• The Company shall, and shall cause the Company Bank to, consider in good faith the recommendations of any VCOC Investor or its designated representative in connection with the matters on which it is consulted as described above, recognizing that the ultimate discretion with respect to all such matters shall be retained by the Company or the Company Bank, as applicable.

• The Company agrees to consider, in good faith, the recommendations of the Investors and the VCOC Investor or their respective designated representatives in connection with the matters on which they are consulted as described above, recognizing that the ultimate discretion with respect to all such matters shall be retained by the Company.

VCOC Investor means GS Capital Partners VI Parallel, L.P.

VCOC Investor means each Investor that intends its investment to qualify as a VCOC;

VCOC Investor means Warburg Pincus Private Equity X, L.P. and each transferee which is an Affiliate of the Warburg Investor and which acquires shares of Company Common Stock and notifies the Company in writing that it is subject to contractual obligations requiring shares of Company Common Stock to qualify as a venture capital investment within the meaning of Department of Labor “plan asset” regulations or requiring such transferee to use efforts to cause ownership of the shares of Company Common Stock to qualify as a venture capital investment within the meaning of Department of Labor “plan asset” regulations. No such transferee shall be a VCOC Investor on the earlier of (i) the date on which the Warburg Investor no longer holds a Qualifying Ownership Interest, and (ii) the date on which, in the VCOC Investor’s good faith judgment, the provisions of Section 1.6 are no longer required in order for the ownership of the shares of Company Common Stock to qualify as a venture capital investment within the meaning of Department of Labor “plan asset” regulations.

VCOC Investor means any Investor designated as a VCOC Investor in a written notice by a Carlyle Majority to the Company from time to time.

VCOC Investor has the meaning given that term in Section 2.06(a).
