TWX Dividend Equivalents definition

TWX Dividend Equivalents means cash dividend equivalents based on cash dividends declared and paid by TWX on the TWX Common Stock that are paid with respect to TWX RSUs held by AOL Employees.
TWX Dividend Equivalents means dividend equivalents paid with respect to TWX RSUs held by AOL Employees.

  • Promptly following the end of each calendar quarter that ends following the AOL Employee Transfer Time in which the TWX Transferred Employee Bonuses are paid to TWX Transferred Employees or TWX Dividend Equivalents are paid to AOL Employees, AOL shall provide TWX with one or more invoices that set forth the aggregate TWX Transferred Employee Bonuses Reimbursement Amounts and TWX Dividend Equivalent Reimbursement Amounts incurred by a member of the AOL Group during such calendar quarter.

  • As soon as practicable following the payment by TWX of a cash dividend with respect to TWX Common Stock that is paid on or after the Distribution, AOL shall pay each AOL Employee with an outstanding TWX RSU any TWX Dividend Equivalents payable pursuant to such award (less any Taxes that are withheld), and TWX shall not be obligated to pay such AOL Employee such TWX Dividend Equivalent.

  • Without limiting the generality of Section 19.03, the members of the AOL Group shall be solely responsible for all obligations relating to the withholding and reporting of Taxes required to be withheld or reported in connection with the exercise, vesting or settlement, as applicable, of the TWX Equity Compensation Awards held by AOL Employees and any TWX Dividend Equivalents paid to AOL Employees, and no member of the TWX Group shall have any responsibility or liability with respect thereto.

  • Phantom Share means a right, pursuant to the Plan, of the Grantee to payment of the Phantom Share Value.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;
