Transco Parties has the meaning specified in §12.01(b). “Transferee” has the meaning specified in §18.13. “Transferor” has the meaning specific in §18.13.

  • The Shareholder's indemnity obligations under this Agreement shall be reduced by insurance proceeds that Purchaser recovers in connection with an indemnified matter and from amounts that Purchaser recovers from all Transco Parties other than the Companies and the Subsidiaries.

ESI may include information and/or documentation stored in various software programs such as: Email, Outlook, Word, Excel, Access, Publisher, PowerPoint, Adobe Acrobat, SQL databases, or any other software or electronic communication programs or databases that the CONSULTANT may use in the performance of its operations. ESI may be located on network servers, backup tapes, smart phones, thumb drives, CDs, DVDs, floppy disks, work computers, cell phones, laptops or any other electronic device that CONSULTANT uses in the performance of its Work or SERVICES hereunder, including any personal devices used by the CONSULTANT or any sub-consultant at home. “Native files” are a subset of ESI and refer to the electronic format of the application in which such ESI is normally created, viewed, and /or modified. The CONSULTANT shall include this section XX “Records Maintenance” in every subcontract it enters into in relation to this AGREEMENT and bind the sub-consultant to its terms, unless expressly agreed to otherwise in writing by the AGENCY prior to the execution of such subcontract.   • SpinCo shall have the meaning set forth in the Preamble.

  • MPC means Marathon Petroleum Corporation, a Delaware corporation.

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • Partnership Group Member means any member of the Partnership Group.

  • OPC has the meaning specified in the recital of parties to this Agreement.

  • APCEC means the Arkansas Pollution Control and Ecology Commission.

  • Company Entities means the Company and the Company Subsidiaries.

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • PSC means the New York State Public Service Commission.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • ATS means an alternative trading system, as defined in Rule 300(a)(1) of Regulation ATS under the Exchange Act.

  • MOC means the Ministry of Coal, Government of India.

  • Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.
