Transaction Not a Breach. The execution and delivery of this Agreement and its related documents, the performance by Buyer hereunder, and the consummation of the transactions described herein, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a material breach of any contract, agreement, or other instrument, obligation or understanding of any nature to which Buyer is a party or by which Buyer is bound or affected.

Neither the execution and delivery of this Agreement nor their performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on CTS or NEWCO or conflict with or result in the breach of any of the terms, conditions or provisions of the Certificate or Articles of Incorporation or the By-laws of CTS or NEWCO or of any contract, agreement, mortgage or other instrument or obligation of any nature to which CTS or NEWCO is a party or by which CTS or NEWCO is bound.

Neither the execution and delivery of this Agreement or the Other Agreements, nor their performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on Clarant or Newco or conflict with or result in the breach of any of the terms, conditions or provisions of the Clarant Charter Documents or of any contract, agreement, mortgage or other instrument or obligation to which Clarant or Newco is a party or by which Clarant or Newco is bound.

Transaction Not a Breach. Except as set forth on Schedule 3.9, neither the execution and delivery of this Agreement and the Transaction Documents by the Company and such Seller nor the performance by the Company and such Seller of the transactions contemplated hereby or thereby will:

Neither the execution and delivery of this Agreement by CONDOR nor its performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on CONDOR or conflict with or result in the breach of any of the terms, conditions or provisions of the Certificate of Incorporation or the By-Laws of CONDOR or of any contract, agreement, mortgage or other instrument or obligation of any nature to which CONDOR is a party or by which CONDOR is bound.

The execution, delivery and performance of this Agreement and the Transaction Documents by NovaMed will not violate and conflict with, or result in the breach of any of the terms, conditions, or provisions of NovaMed’s Certificate of Incorporation or of any contract, agreement, mortgage, or other instrument or obligation of any nature to which NovaMed is a party or by which NovaMed is bound.
