TDF's Consultant's Report definition

TDF's Consultant's Report means a report by TDF's Consultant (i) to the effect that all of the work theretofore completed on the Project has been completed in a good and workmanlike manner, substantially in accordance with the Plans and the Construction Schedule and in compliance with the Legal Requirements, (ii) stating whether the work which is the basis of the applicable Request for Disbursement has been completed within the applicable Line Item therefor, (iii) stating that the amounts requested for Disbursement are based on the percentage of completion in accordance with the schedule of values agreed to by TDF's Consultant and the Company for the Trade Cost Items for which a Disbursement is requested and (iv) addressing such other matters reasonably requested by TDF to be addressed therein.

  • SOS Reports means the official reports from the Secretaries of State of each Collateral State, Chief Executive Office State and the Borrower State and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.

  • Performance Report has the meaning set out in clause 8.2;

  • Section 16 Information means information accurate in all respects regarding the Company Insiders, the number of shares of the Company Common Stock held by each such Company Insider and expected to be exchanged for Parent Common Stock in the Merger, and the number and description of the options on the Company Common Stock held by each such Company Insider that are expected to be converted into options on Parent Common Stock in connection with the Merger. "Company Insiders" shall mean those officers and directors of the Company who will be subject to the reporting requirements of Section 16(b) of the Exchange Act with respect to Parent and who are listed in the Section 16 Information.

  • Annual Statement of Compliance As defined in Section 3.13.

  • Performance audit means an objective and systematic assessment of a state agency or agencies or any of their programs, functions, or activities by the state auditor or designee in order to help improve agency efficiency, effectiveness, and accountability.
