ABS Informational and Computational Material definition

ABS Informational and Computational Material means any written communication as defined in Item 1101(a) of Regulation AB under the 1933 Act and the 1934 Act, as may be amended from time to time.

ABS Informational and Computational Material means “ABS informational and computational material,” as defined in Item 1101(a) of Regulation AB under the 1933 Act and “Regulation AB” shall mean Subpart 229.1100 – Asset Backed Securities (Regulation AB), 17 C.F.R. §§229.1100-229.1125, as such rules may be amended from time to time, and subject to such clarification and interpretation as have been provided by the Commission or by the staff of the Commission, or as may be provided by the Commission or its staff from time to time, in each case as in effect on the date hereof and for which compliance is required as of the date hereof.

ABS Informational and Computational Material as used herein shall have the meanings given such term in Item 1101(a) of Regulation AB under the Exchange Act.

Examples of ABS Informational and Computational Material in a sentence

• Without the prior written consent of the Depositor, such Underwriter shall not convey or deliver in connection with the initial offering of the Registered Certificates any ABS Informational and Computational Material in reliance upon Rules 167 and 426 under the 1933 Act.

• The Underwriter shall not convey or deliver any ABS Informational and Computational Material in reliance on Rules 167 and 426 under the Act.

• Without limitation thereby, without the prior written consent of the Company (which consent may be withheld for any reason), the Underwriter shall not convey or deliver in connection with the initial offering of the Certificates any "ABS informational and computational material," as defined in Item 1101(a) of Regulation AB under the Act ("ABS Informational and Computational Material"), in reliance upon Rules 167 and 426 under the Act.

• Depositor Item 6.01- ABS Informational and Computational Material Depositor Item 6.02- Change of Servicer or Administrator Requires disclosure of any removal, replacement, substitution or addition of any Servicer, affiliated servicer, and other servicer servicing 10% or more of pool assets at time of report, other material servicers or Indenture Trustee.

ABS Informational and Computational Material means “ABS informational and computational material,” as defined in Item 1101(a) of Regulation AB under the 1933 Act and “Regulation AB” shall mean Subpart 229.1100 – Asset Backed Securities (Regulation AB), 17 C.F.R. §§229.1100-229.1123, as such may be amended from time to time, and subject to such clarification and interpretation as have been provided by the Commission in the adopting release (Asset-Backed Securities, Securities Act Release No. 33-8518 (Dec. 22, 2004), 70 Fed. Reg. 1,506-1,631 (Jan. 7, 2005)), or by the staff of the Commission or as may be provided by the Commission or its staff from time to time. If, subsequent to the date of this Agreement, the Depositor and the Underwriters have determined that such information included an untrue statement of material fact or omitted to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading and have terminated their old purchase contracts and entered into new purchase contracts with purchasers of the Underwritten Certificates, then “Time of Sale Information” will refer to the information available to purchasers at the time of entry into such new purchase contract, including any information that corrects such material misstatements or omissions (“Corrective Information”).

ABS Informational and Computational Material means (a) prior to the date on which the Commission promulgates Regulation AB in final form, (i) "computational materials", as that term is defined in the Commission staff's no-action letter dated May 20, 1994 addressed to Kidder, Peabody Acceptance Corporation I, Kidder, Peabody & Co. Inxxxxxxated and Kidder Structured Asset Corxxxxxxon xxx xxde applicable to issuers xxx xnderwriters generally by the Commission in response to a request of the Public Securities Association dated May 24, 1994 or (ii) "ABS term sheets" or "collateral term sheets" as those terms are defined in the Commission staff's no-action letter dated February 20, 1995 addressed to the Public Securities Association; and (b) after the date on which the Commission promulgates Regulation AB in final form, "ABS informational and computational material" as that term is defined in 17 C.F.R. Section 229.1101; provided, however, the Derived Information shall not be considered to control ABS Informational and Computational Material.

If, subsequent to the date of this Agreement, the Depositor and the Underwriters have determined that such information included an untrue statement of material fact or omitted to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading and have terminated their old purchase contracts and entered into new purchase contracts with purchasers of the Underwritten Certificates, then “Time of Sale Information” will refer to the information available to purchasers at the time of entry into the first such new purchase contract, including any information that corrects such material misstatements or omissions (“Corrective Information”).
