  • The Subscriber indemnifies Ellerston Capital Limited and each of its officers, employees, advisers and agents (the Indemnified Parties) against all Claims and Liabilities (including legal costs on a full indemnity basis) incurred or suffered by or brought by or made or recovered against the Indemnified Parties in connection with, or arising out of, any breach of any provision of these Subscription Terms and Conditions by the Subscriber.

  • Review the Subscription Terms and Conditions found in Schedule “C” in its entirety and then date and sign Part 5 and have your signature witnessed.

  • Legal notices to Vocera shall be made in accordance with the Subscription Terms and Conditions attached to this Agreement.

  • If Vocera hereafter posts any new or modified versions of these Subscription Terms and Conditions, the applicable Product Documentation or the applicable Support Terms at xxx.xxxxxx.xxx/xxxxx, such new or modified version will apply to any Renewal Terms for Subscription Services purchased under this Agreement which begin subsequent to the date of such posting.

  • If any provision (or portion thereof) contained herein is found by any arbitrator or court of competent jurisdiction to be invalid, illegal or unenforceable, that provision (in whole or in part) shall, to the extent required, be deemed not to form part of these Standard Season Subscription Terms and Conditions, and the validity, legality and enforceability of the other provisions of these Standard Season Subscription Terms and Conditions shall not be affected or impaired thereby.

  • These Standard Season Subscription Terms and Conditions are subject to applicable law.

  • If there is any conflict between our Website Terms and Conditions or Privacy Policy and these Subscription Terms and Conditions, then these Subscription Te rms and Co nditions shall govern and take precedence.
