Significant Subsidiary Group definition

Significant Subsidiary Group means any Subsidiary of the Borrower, or any group of Subsidiaries of the Borrower, which at any time of determination account for (or in the case of a recently formed or acquired Subsidiary would have so accounted for on a pro forma basis) more than 5% of consolidated operating revenues of the Borrower and its Subsidiaries for the fiscal year most recently ended or more than 5% of consolidated total assets of the Borrower and its Subsidiaries as of the end of the most recently ended fiscal quarter, in each case computed in accordance with GAAP.
Significant Subsidiary Group means any Subsidiary of the Borrower which is, or any group of Subsidiaries of the Borrower all of which are, at any time of determination, subject to one or more of the proceedings or conditions described in subsection (f) or (g) of Section 9.1 and which Subsidiary or group of Subsidiaries accounted for (or in the case of a recently formed or acquired Subsidiary would have so accounted for on a pro forma basis) more than 1% of consolidated operating revenues of the Borrower for the fiscal year most recently ended or more than 1% of consolidated Total Assets of the Borrower as of the end of the most recently ended fiscal quarter, in each case computed in accordance with GAAP.
Significant Subsidiary Group as at any date means one or more Subsidiaries which account for (or in the case of a recently formed or acquired Subsidiary would so account for on a pro forma historical basis) at least (i) 90% of Consolidated Total Assets as measured as at the end of the most recently ended Fiscal Year or (ii) 90% of Consolidated EBITDA for either of the two most recently ended Fiscal Years. A Subsidiary shall be a "Significant Subsidiary" if such Subsidiary is included in the group of Subsidiaries, determined in accordance with the terms of the following sentence, accounting for either: (A) the Consolidated Total Assets measured under part (i) of the preceding sentence, but not the Consolidated EBITDA measured under part (ii) of the preceding sentence or (B) the Consolidated EBITDA measured under part (ii) of the preceding sentence, but not the Consolidated Total Assets measured under part (i) of the preceding sentence or (C) the Consolidated EBITDA measured under part (ii) of the preceding sentence and the Consolidated Total Assets measured under part (i) of the preceding sentence. The determination of the Significant Subsidiary or the Significant Subsidiaries comprising the Significant Subsidiary Group as of any date shall be made on the basis of a group consisting of the smallest number of Subsidiaries necessary to comprise the Significant Subsidiary Group as of such date.

Significant Subsidiary Group any Subsidiary of the Company which is, or any group of Subsidiaries of the Company all of which are, at any time of determination, subject to one or more of the proceedings or conditions described in subdivision (g) or (h) of SECTION 11 and which Subsidiary or group of Subsidiaries accounted for (or in the case of a recently formed or acquired Subsidiary would have so accounted for on a pro forma basis) more than 1% of consolidated operating revenues of the Company for the fiscal year most recently ended or more than 1% of consolidated total assets of the Company as of the end of the most recently ended fiscal quarter, in each case computed in accordance with GAAP.
Significant Subsidiary Group means two or more Subsidiaries collectively having assets equal to or greater than $50,000,000 in value.

Significant Subsidiary Group means each of (i) Denny's Holdings and its Subsidiaries, taken as a whole, (ii) Spartan and its Subsidiaries, taken as a whole, and (iii) each other First Tier Subsidiary and its Subsidiaries, taken as a whole, that at any time has (x) assets with a value of not less than 15% of the total value of the assets of the Borrower and the Subsidiary Guarantors taken as a whole or (y) consolidated EBITDA of not less than 15% of the consolidated EBITDA of the Borrower and the Subsidiary Guarantors taken as a whole for the most recent four fiscal quarters.
