Series Offering definition

Series Offering means, with respect to each Series, the offering by the Company of Class A Ordinary Shares of a particular Series for sale to the public pursuant to Regulation A under the Securities Act of 1933, as amended (the “Act”) or, in any replacement offering of Class A Ordinary Shares of such Series, as determined by the Board in the event such Series Offering shall not proceed for any reason.
Series Offering refers to the specific offering of Membership Interests in a particular Series, and further detailed in the Series Supplement for such Series.

Examples of Series Offering in a sentence

  • So long as the Notes are represented by a temporary Global Note, permanent Global Note or Global Certificate and the relevant clearing system(s) so permit, the Notes shall be tradable only in principal amounts of at least the Specified Denomination (or if more than one Specified Denomination, the lowest Specified Denomination) provided hereon and integral multiples of the Tradable Amount provided in the Final Terms or Series Offering Document, as applicable.

  • Condition 4A shall apply to each General Short Series, save to the extent modified or replaced by the relevant Series Offering Document, if any.

  • The Notes are serially numbered and issued in bearer form (“Bearer Notes”) in the denomination of the Specified Denominations(s) or in registered form (“Registered Notes”) in amounts of the Specified Denomination or such integral multiples of a stated amount in excess thereof (“Authorised Denominations”) as are specified in the Final Terms or Series Offering Document, as applicable.

  • Conditions 4B and 9B shall apply to each Series of Notes designated in the relevant Final Terms or Series Offering Document, as applicable, as a General Long Series.

  • Condition 4C shall apply to each Specific Series save to the extent modified or replaced by the relevant Series Offering Document and/or Supplemental Trust Deed.

  • Condition 4B shall apply to each General Long Series, save to the extent modified or replaced by the relevant Series Offering Document, if any.

  • Conditions 4C and 9C shall apply to each Series of Notes designated in the relevant Final Terms or Series Offering Document, as applicable, as a Specific Series.

  • Conditions 4A and 9A shall apply to each Series of Notes designated in the relevant Final Terms or Series Offering Document, as applicable, as a General Short Series.

  • If any Maximum or Minimum Interest Rate is specified in the Final Terms or Series Offering Document, as applicable, then any Interest Rate shall be subject to such maximum or minimum, as the case may be.

  • Where such calculation is to be made for a period of less than one year, it shall be made on the basis of the Day Count Fraction shown in the Final Terms or Series Offering Document, as applicable.

Related to Series Offering

  • series of Shares refers to the division of Shares representing any class into two or more series as provided in Article III, Section 1 hereof; and

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Rights Offering has the meaning set forth in Section 4.1(b);

  • Initial Offering means the Company’s first firm commitment underwritten public offering of its Common Stock registered under the Securities Act.

  • Series of Notes means the Notes and the Series of Notes secured by this Agreement as the same exist on the Effective Date, without giving effect to any amendments or modifications to said Notes or Series of Notes effected or made after any such Effective Date unless such amendments or modifications to said Notes or Series of Notes have been consented to in writing by Principal Life.

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Series Issuance Date means, with respect to any Series, the date on which the Notes of such Series are to be originally issued in accordance with Section 2.12 and the related Indenture Supplement.

  • Equity Offering means any public or private sale of common stock or Preferred Stock of the Company or any of its direct or indirect parent companies (excluding Disqualified Stock), other than:

  • Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.

  • Series of Securities means each series of debentures, notes or other debt instruments of the Company created pursuant to Sections 2.1 and 2.2 hereof.

  • Series of Parity Lien Debt means, severally, the Notes and each other issue or series of Parity Lien Debt for which a single transfer register is maintained.

  • Initial Dividend Payment Date means the Initial Dividend Payment Date as determined by the Board of Directors of the Corporation with respect to the AMPS or Other AMPS, as the case may be.

  • Net Proceeds Offer Trigger Date has the meaning set forth in Section 4.16.

  • Initial Offering Period means the initial period during which a Series of the Trust will offer its Shares prior to the commencement of investment operations of such Series;

  • Series A Junior Securities means any class or series of Partnership Interests that, with respect to distributions on such Partnership Interests and distributions upon liquidation of the Partnership, ranks junior to the Series A Preferred Units, including Common Units and Non-Voting Common Units, but excluding any Series A Parity Securities and Series A Senior Securities.

  • Rights Offering Amount means $300,000,000.

  • Series Issue Date means the date of issuance of the Initial Tranche of a Series of ETP Securities, as specified in the relevant Final Terms.

  • Offering Funding Date means the date on which the offering for the Series Asset is fully funded through an offering conducted by the Company.

  • Redemption Time means the time at which the right to exercise the Rights shall terminate pursuant to Section 5.1 hereof.

  • Series of Junior Lien Debt means, severally, each issue or series of Junior Lien Debt for which a single transfer register is maintained.

  • Net Proceeds Offer Payment Date has the meaning set forth in Section 4.16.

  • Early Preference Share Redemption Date means the day falling ten Business Days after the Early Preference Share Valuation Date.

  • Offering Date means a date selected by the Board for an Offering to commence.

  • Shelf Offering Notice has the meaning set forth in Section 1(d)(i).

  • Underwritten Shelf Takedown shall have the meaning given in subsection 2.3.3.

  • Public Equity Offering means an underwritten primary public offering of common stock of the Company pursuant to an effective registration statement under the Securities Act.
