Series B-1 Certificate of Designation means the Certificate of Designation of Preferences, Rights and Limitations of the Series B-1 Preferred Stock.

Series B-1 Certificate of Designation means the Certificate of Designation of Series B-1 Cumulative Convertible Participating Preferred Stock of the Corporation. A copy of the Series B-1 Certificate of Designation is attached hereto as Exhibit B. "Series B-1 Preferred Stock" shall mean the Corporation's authorized 325,000 shares of Series B Cumulative Convertible Preferred Stock, par value $ 1.00 per share, having the designations, rights, preferences and privileges and qualifications, limitations and restrictions of preferred stock set forth in the Series B-1 Certificate of Designation. "Series B Stock Purchase Agreement" shall mean the Preferred Stock Purchase Agreement dated as of February 18, 2000, by and among the Corporation and certain of the Investors, as the same may be amended from time to time. "Series C Certificate of Designation" shall mean the Certificate of Designation of Series C Cumulative Convertible Participating Preferred Stock of the Corporation. A copy of the Series C Certificate of Designation is attached hereto as Exhibit C.
