Selling Jurisdictions definition

Selling Jurisdictions means, collectively, each of the Qualifying Jurisdictions and may also include, the United States and any other jurisdictions outside of Canada and the United States as mutually agreed to by the Corporation and the Underwriters;
Selling Jurisdictions has the meaning assigned in the Terms;
Selling Jurisdictions has the meaning ascribed thereto in the eighth paragraph of this Agreement;

Examples of Selling Jurisdictions in a sentence

The Underwriters shall offer for sale and sell the Units pursuant to the Offering in the Selling Jurisdictions in accordance with the terms of this Agreement, on a private placement basis in such a manner so as not to require registration thereof or filing of a prospectus, registration statement or similar disclosure document or imposing on the Company additional continuous reporting obligations under all applicable Securities Laws, all in compliance with such applicable Securities Laws.

Selling Jurisdictions means each of the provinces of Canada and the United States and such other jurisdictions which are agreed to by the Corporation and the Underwriters; and “Selling Jurisdiction” means, in the case of any Subscriber, the jurisdiction in which such Subscriber is resident.
