Satellite Usage Fee shall have the meaning assigned thereto in Section 5.

  • Within [CONFIDENTIAL TREATMENT] calendar days of the end of each calendar month, ORBCOMM shall compute and invoice Licensee for the actual Satellite Usage Fee payment for such month, in U.S. dollars, using the official exchange rate in effect at Morgxx Xxxranty Trust Company of New York at the close of business in New York on the last business day of such calendar month.

  • The Ground Segment Hardware Usage Fee shall be paid by ORBCOMM Canada to ORBCOMM at the same time the Satellite Usage Fee is paid by ORBCOMM Canada to ORBCOMM under the Service License Agreement, as such time may be modified from time to time.

  • Bandwidth means a distributor’s defined tolerance used to flag data for further scrutiny at the stage in the VEE process where a current reading is compared to a reading from an equivalent historical billing period. For example, a 30 percent bandwidth means a current reading that is either 30 percent lower or 30 percent higher than the measurement from an equivalent historical billing period will be identified by the VEE process as requiring further scrutiny and verification;

  • Usage Fee means the subscription fees to be paid by the Agency for ongoing access to Services.

  • Satellite Manufacturer means, with respect to any Satellite, the prime contractor and manufacturer of such Satellite.

  • Usage Charges means the Charges for the Service or applicable part of the Service that are calculated by multiplying the volume of units that the Customer used or incurred in a period (e.g. number of users using the Service, or the number of minutes the Service was used for) with the relevant fee that is specified in the Online Order.

  • Minimum Charge means the higher of the rate minimum and the rate applied to the Contracted Minimum Demand;

  • Non-Availability Charges has the meaning set forth in the CAISO Tariff.

  • Demarcation Point means the point where Qwest owned or controlled facilities cease, and CLEC, End User Customer, premises owner or landlord ownership or control of facilities begin. "Designed, Verified and Assigned Date" or "DVA" means the date on which implementation groups are to report that all documents and materials have been received and are complete.

  • Yield Maintenance Amount means, with respect to any Note, an amount equal to the excess, if any, of the Discounted Value of the Called Principal of such Note over the sum of (i) such Called Principal plus (ii) interest accrued thereon as of (including interest due on) the Settlement Date with respect to such Called Principal. The Yield-Maintenance Amount shall in no event be less than zero.

  • Transponder means an access device used to gain entry to the parking facility;

  • Load means energy consumed by Customers together with allocated losses and unaccounted for energy;

  • Net Output means all energy and capacity produced by the Facility, less station use and less transformation and transmission losses and other adjustments (e.g., Seller's load other than station use), if any. For purposes of calculating payment under this Agreement, Net Output of energy shall be the amount of energy flowing through the Point of Delivery.

  • Maintenance Outage means NERC Event Type MO, as set forth in attached Exhibit B, and includes any outage involving ten percent (10%) of the Facility’s Net Output that is not a Forced Outage or a Planned Outage.
