Examples of ROFR Units in a sentence

  • If all of the ROFR Units have not been agreed to be purchased by the Company and/or the Initial Members pursuant to the preceding ROFR provisions, the Company and the Initial Members shall have no right to purchase any of such Units, and the Offering Member may sell the ROFR Units to the Offeror on the same terms as set forth in the Offer within the ninety (90) day period following the last (15) day election period described above.

  • The Disposition Notice shall constitute a Disposing Person’s offer to Transfer the ROFR Units first to the Foundation, and then to the other Members in accordance with the terms of this Section 11.4, which offer shall be irrevocable until the end of the applicable ROFR Notice Period (defined below).

  • If any Member does not deliver an ROFR Offer Notice during its applicable ROFR Notice Period, such Member shall be deemed to have waived all of its rights to purchase the ROFR Units under this Section 11.4.

  • Each time a Disposing Person receives an offer from a Proposed Transferee for any of such Disposing Person’s Units (the “ROFR Units”), such Disposing Person shall first make an offering of the ROFR Units to the other Members in accordance with the following provisions of this Section 11.4. (c) Notice.

  • If the Disposing Person does not Transfer the ROFR Units within such sixty (60)-day period, the rights provided hereunder shall be deemed to be revived and the ROFR Units shall not be Transferred to a Proposed Transferee unless the Disposing Person sends a new Disposition Notice in accordance and which otherwise complies with this Section 11.4. 11.5 Admission as Substitute Member.

  • If all of the ROFR Units have not been agreed to be purchased by the Company and/or the Founding Members pursuant to the preceding ROFR provisions, the Company and the Founding Members shall have no right to purchase any of such Units, and the Offering Member may sell the ROFR Units to the Offeror on the same terms as set forth in the Offer within the 90 day period following the last 15-day election period described above.

Related to ROFR Units

  • Offered Units shall have the meaning set forth in Section 11.1 hereof.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • Junior Units means Common Units and any other equity securities that the Partnership may issue in the future ranking, as to the payment of distributions, junior to the Series A Preferred Units.

  • Initial Units means, with respect to any Initial Limited Partner, the aggregate number of Class A Units owned by such Initial Limited Partner as of the date of this Agreement.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Common Units is defined in the Partnership Agreement.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Series A Units means Series A currency hedged mutual fund units or Series A non-currency hedged mutual fund units of a fund, as applicable.

  • Membership Units means membership interests in the Company.

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Purchased Units means, with respect to a particular Purchaser, the number of Common Units equal to the aggregate Purchase Price set forth opposite such Purchaser’s name under the column titled “Purchase Price” set forth on Schedule A hereto divided by the Common Unit Price.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Incentive Units means those Partnership Interests described in Section 2 of the Incentive Unit Agreement.

  • LTIP Units means a Partnership Unit which is designated as an LTIP Unit and which has the rights, preferences and other privileges designated in Section 4.6 and elsewhere in this Agreement in respect of holders of LTIP Units. The allocation of LTIP Units among the Partners shall be set forth in the Partner Registry, as it may be amended or restated from time to time.

  • Redeemed Units has the meaning set forth in Section 11.01(a).

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Offered Interests has the meaning set forth in Section 8.5(a).

  • Option Units means the Common Units that the Partnership will agree to issue upon an exercise of the Over-Allotment Option.

  • Offering Shares means the Class A Shares sold in the Offering, whether such Class A Shares were purchased in the Offering or in the secondary market following the Offering and whether or not such holders are affiliates of the Sponsor.

  • public units means the state or a political subdivision or instrumentality of the state including a county, school corporation, special district, drainage district, unincorporated town or township, municipality, or municipal corporation or any agency, board, or commission of the state or a political subdivision; any court or public body; an electric power agency; federal and state grant moneys of a quasi-public state entity under Iowa Code section 12C.1, subsection (2e), and this chapter. Public units additionally include, but are not limited to:

  • Company Units has the meaning set forth in the Recitals.

  • LLC Units has the meaning set forth in the LLC Agreement.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."
