Restructuring Adjustment definition

Restructuring Adjustment means, with respect to any Taxable period or portion of a Taxable period, and as computed separately with respect to each Tax, the net increase or decrease in each such Tax, as the case may be, equal to the sum of all Tax Adjustments made pursuant to a Final Determination with respect to each such Tax for each Taxable period or portion of a Taxable period that are attributable to, or are a result of, the Separation, the Initial Public Offering or the Distribution.
