Required Net Cash Proceeds Percentage definition

Required Net Cash Proceeds Percentage means, as of any date of determination, (a) if the Consolidated First Lien Leverage Ratio is greater than or equal to 4.75:1.00, 100%, (b) if the Consolidated First Lien Leverage Ratio is less than 4.75:1.00 and greater than or equal to 4.25:1.00, 50% and (c) if the Consolidated First Lien Leverage Ratio is less than 4.25:1.00, 0%; it being understood and agreed that, for purposes of this definition as it applies to the determination of the amount of Net Cash Proceeds that are required to be applied to prepay the Term Loans under Section 2.13(b), the Consolidated First Lien Leverage Ratio shall be determined on the date on which such proceeds are received by the Borrower or applicable Restricted Subsidiary.
Required Net Cash Proceeds Percentage means, as of any date of determination, (a) if the First Lien Net Leverage Ratio is greater than or equal to 4.40 to 1.00, 100%, (b) if the First Lien Leverage Ratio is less than 4.40 to 1.00 and greater than or equal to 3.90 to 1.00, 50% and (c) if the First Lien Leverage Ratio is less than 3.90 to 1.00, 0%; it being understood and agreed that, for purposes of this definition as it applies to the determination of the amount of Excess Net Cash Proceeds that are required to be applied to prepay Term Loans under Section 2.10(c) in connection with any Asset Sale and/or Casualty Event, the First Lien Net Leverage Ratio shall be determined on the date on which the proceeds thereof are received by the Borrower or applicable Restricted Subsidiary (giving Pro Forma Effect to such Asset Sale and/or Casualty Event).

  • Deferred Net Cash Proceeds shall have the meaning provided such term in the definition of Net Cash Proceeds.

  • Net Cash Proceeds with respect to any issuance or sale of Capital Stock, means the cash proceeds of such issuance or sale net of attorneys' fees, accountants' fees, underwriters' or placement agents' fees, discounts or commissions and brokerage, consultant and other fees actually incurred in connection with such issuance or sale and net of taxes paid or payable as a result thereof.

  • Unrestricted Cash Amount means, as to any Person on any date of determination, the amount of (a) unrestricted Cash and Cash Equivalents of such Person whether or not held in an account pledged to the Collateral Agent and (b) Cash and Cash Equivalents of such Person restricted in favor of the Facilities (which may also include Cash and Cash Equivalents securing other Indebtedness secured by a Lien on any Collateral along with the Facilities), in each case as determined in accordance with GAAP; it being understood and agreed that proceeds subject to Escrow shall be deemed to constitute “restricted cash” for purposes of the Unrestricted Cash Amount.
