Released Subsidiaries means certain non-Debtor Westinghouse Entities to receive the benefit of the releases and exculpations provided pursuant to this Plan, a list of which Entities is contained in the Plan Supplement.
Released Subsidiaries of MediaTek means each Licensed Subsidiary of MediaTek as of the Effective Date, as listed on Exhibit A.
Released Subsidiaries of Xxxxx means each Licensed Subsidiary of Xxxxx as of the Effective Date, as listed on Exhibit B.

  • Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of each Loan Party, the authorization of the transactions contemplated by this Amendment and any other legal matters relating to the Loan Parties (other than the Released Subsidiaries) or the transactions contemplated by this Amendment, all in form and substance reasonably satisfactory to the Administrative Agent and its counsel.

  • F.Y.I. shall have delivered to the Administrative Agent such documents as the Administrative Agent may reasonably require to evidence the sale of the stock or the dissolution of the Released Subsidiaries.

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).

  • Inactive Subsidiaries means those Subsidiaries of the Borrower listed on Schedule 1.01.
