Consultation means the good faith attempt by the Depositary to discuss, if practicable, the relevant issue in a timely manner with a person employed by the Company reasonably believed by the Depositary to be empowered by the Company to engage in such discussion on behalf of the Company.
Governing board of the agreement means the governing board of the agreement
Board of Studies means the Board of Studies of the University;
Investigating Committee means any Officer/Committee appointed by Competent Authority to conduct investigation.
Coordination Committee means the jointly constituted PJM and NYISO committee established to administer the terms and provisions of this Agreement pursuant to Section 35.3.2.
Standard of Conduct means the standard for conduct by Indemnitee that is a condition precedent to indemnification of Indemnitee hereunder against Indemnifiable Losses relating to, arising out of or resulting from an Indemnifiable Claim. The Standard of Conduct is (i) good faith and a reasonable belief by Indemnitee that his action was in or not opposed to the best interests of the Company and, with respect to any criminal action or proceeding, that Indemnitee had no reasonable cause to believe that his conduct was unlawful, or (ii) any other applicable standard of conduct that may hereafter be substituted under Section 145(a) or (b) of the Delaware General Corporation Law or any successor to such provision(s).
Governing board means the Fund's Board of Directors if the Fund is a corporation or the Fund's Board of Trustees if the Fund is a trust, or, where duly authorized, a competent committee thereof.
Special Committee means a committee of the Board of Managers of the Company comprised of two individuals, each of whom qualifies as an Independent Manager.
Consultation Period means the period of sixty (60) days or such other longer period as the Parties may agree, commencing from the date of issuance of a Developer Preliminary Default Notice or ESCOM Preliminary Default Notice as provided in Article 16 of this Agreement, for consultation between the Parties to mitigate the consequence of the relevant event having regard to all the circumstances.
Independent Board Committee means the independent board committee of the Company
Company Board of Directors means the board of directors of the Company.
Committee of the Whole means a meeting of Council in Committee format for discussion purposes.
Coordinating board means the Texas Higher Education Coordinating Board.
Independent Safeguarding Authority is a non-departmental public body sponsored by the Home Office set up under the provisions of the Safeguarding Vulnerable Groups Act 2006 and which is responsible for the decision making and maintenance of two lists covering the children’s and vulnerable adults’ sectors
Investigation Committee means the Investigation Committee appointed by the Board under Regulation 5 of these Regulations;
Board of Directors or Board means the Board of Directors of Prakash Steelage Limited, as constituted from time to time.
Board of Supervisors means the Board of Supervisors of Kern County.
Coordinating Committee means the committee designated and elected as provided in section 16d in connection with a township consolidation.
MUSL Board means the governing body of the MUSL, which is comprised of the chief executive officer of each Party Lottery.
Award of Contract means the decision of the Purchaser to enter into a Contract with the Supplier for supply and delivery of the specified Goods, including any Related Services.
Board of Management means the Board of Management of the University;
Consultation Termination Event shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.
Transition Committee shall have the meaning set forth in Section 2.14.
Reviewing Authority means the Alberta Securities Commission.
Independent Committee means a committee of the board of directors of the General Partner made up of directors that are “independent” of Brookfield and its Affiliates, as contemplated by applicable securities Laws;
Expert Determination the process described in Paragraph 6 of Schedule 8.3 (Dispute Resolution Procedure);
