QIB Certificate definition

QIB Certificate. As defined in Section 5.5(a), a Rule 144A Agreement or a certificate substantially to the same effect.

  • If so provided in the Trust Agreement, the prospective transferee will be deemed to have provided a QIB Certificate upon acceptance of the Certificate.

QIB Certificate means the qualified institutional buyer representation letter in the form attached to the U.S. Private Placement Memorandum as Exhibit I thereto; Regulation D means Regulation D under the U.S. Securities Act; Regulation D Securities has the meaning ascribed thereto in section 1(d) of this Schedule “A”;
