Except as set forth in the Purchaser’s organizational documents, there are no outstanding contractual obligations of Purchaser to issue, repurchase, redeem or otherwise acquire any shares of Purchaser Class A Common Stock, Purchaser Class B Common Stock or any capital stock of Purchaser.
