Purchase Election definition

Purchase Election has the meaning set forth in Section 4.5(c) hereof.
Purchase Election will have the meaning set forth in Section 3.1.1(c).
Purchase Election means an election made by a Trust Beneficiary to purchase, without the payment of commissions or other fees, additional shares of Common Stock to be deposited in the Trust and allocated to the Trust Beneficiary in accordance with the Purchase and Sale Program Procedures and Section 5.2.

  • During the period after which the Trustee has given notice of the Terminating Purchase to the Securityholders and the Purchase Election Date, the Trustee shall use all reasonable efforts to obtain surrender of the certificates in physical form evidencing the Securities, together with such certificates or documents as may be required to be delivered by the transferor of a Security pursuant to Section 5.03 of the Standard Terms.

  • Any such further election to purchase the Securities and to treat such Securities as outstanding shall be made by the Residual Majority by written notice of such further election delivered to the Trustee no later than the Purchase Election Date.

  • The closing of any such private placement shall occur as soon as practicable but no later than five (5) business days after the Purchaser shall have issued a notice (an “Additional Purchase Election Notice”) to the Company electing to consummate all or such portion of the Additional Purchase.
