Pretax Profits definition

Pretax Profits means the net income (loss) before taxes of the Company and the Subsidiaries (and their respective successors) for the twelve-month period ended December 31, 2001; provided, that (i) expenses incurred in connection with this Agreement and the transactions contemplated hereby shall not be included in such calculation, (ii) a corporate overhead allocation shall not be included in such calculation, (iii) advertising and marketing expenses directly relating to the Company and the Subsidiaries (and their respective successors) shall be included in such calculation and (iv) advertising and marketing expenses indirectly relating to the Company and the Subsidiaries (and their respective successors) shall not be included in such calculations.
Pretax Profits shall be calculated and determined as provided in paragraph (b) of this Section 7. In no event shall the bonus, if any, due Employee under this Section 7 exceed an amount equal to two hundred percent (200%) of the annual base salary paid to Employee in the fiscal year of DBCI with respect to which the bonus is calculated.

  • Operating Profits means, as applied to any Person for any period, the operating income of such Person for such period, as determined in accordance with GAAP.

  • Non-Income Taxes means any Taxes other than Income Taxes.
