Per Share Equity Stock Closing Merger Consideration definition

Per Share Equity Stock Closing Merger Consideration means an amount equal to (a) Seven Million Two Hundred Thousand Dollars ($7,200,000) divided by (b) the number of Fully Diluted Shares, which, as of the date of this Agreement, equals $0.70662. The determination of Fully Diluted Shares, Per Share Equity Stock Closing Merger Consideration and Per Common Stock Option Closing Merger Consideration is set forth on Schedule 1 attached hereto.
Per Share Equity Stock Closing Merger Consideration means an amount equal to (a) (i) the Merger Consideration plus (ii) the Aggregate Common Stock Option Exercise Price plus (iii) the Aggregate Class AB Warrant Exercise Price plus (iv) the Aggregate Class A-8 Warrant Exercise Price minus (v) the Preferred Dividend Amount minus (vi) the Class A-8 Warrant Dividend Amount divided by (b) the number of Fully Diluted Shares.

  • Company Shares means the common shares in the capital of the Company;

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Make-Whole Acquisition Stock Price means the consideration paid per share of Common Stock in a Make-Whole Acquisition. If such consideration consists only of cash, the Make-Whole Acquisition Stock Price shall equal the amount of cash paid per share of Common Stock. If such consideration consists of any property other than cash, the Make-Whole Acquisition Stock Price shall be the average of the Closing Price per share of Common Stock on each of the 10 consecutive Trading Days up to, but not including, the Make-Whole Acquisition Effective Date.

  • Purchaser Stock Price means, with respect to any Common Stock Fundamental Change, the average of the daily Closing Price for one share of the common stock received by holders of the Common Stock in such Common Stock Fundamental Change during the 10 Trading Days immediately prior to the date fixed for the determination of the holders of the Common Stock entitled to receive such common stock or, if there is no such date, prior to the date upon which the holders of the Common Stock shall have the right to receive such common stock.

  • Merger Consideration has the meaning set forth in Section 3.1(a).

  • Buyer Preferred Stock means the preferred stock, par value $0.001 per share, of Buyer.

  • Initial Share Price for a Share means the Closing Price on the Exchange (or where such Exchange does not announce or publish a Closing Price, the last traded price, or, if necessary, the mid-market price) for that Share on the Initial Valuation Date, subject to adjustments that may be made pursuant to “DESCRIPTION OF THE NOTES – Adjustments and Exceptional Circumstances”.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Parent Warrants shall have the meaning assigned to it in Section 1.7(c) hereof.

  • Exchangeable Share Consideration has the meaning provided in the Exchangeable Share Provisions.

  • Common Share Equivalent shall have the meaning ascribed to it in Section 11(a)(iii) hereof.

  • Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock on the NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the five (5) consecutive trading days ending on the trading day that is two (2) trading days prior to the Closing Date.
