PEI Stock definition

PEI Stock has the meaning set forth in Section 9.8(b).
PEI Stock means, collectively, the Initial PEI Stock, the Additional PEI Stock, and the Post-Closing PEI Stock.

  • The parties acknowledge and agree that Accessity Exchange Shares will be directly issued to LDI (without any preceding issuance of shares of PEI Stock) if such conversion occurs after the Closing Date.

  • For purposes of determining the adjusted option price of PEI Stock Options and PEI Director Options, the formula set forth in Exhibit A to this Agreement shall be used to maintain each optionee's Aggregate Spread on each outstanding grant of PEI Stock Options and PEI Director Options.

  • All PEI Stock Options and PEI Director Options held by Transferred Employees shall be cancelled in accordance with their terms (except in case of death or disability) on the date 90 days after the Distribution Date.

  • PEI shall continue to reserve those shares already reserved under the PEI Stock Option Plan.

  • All options granted under the PEI Stock Option Plan will continue to be denominated in PEI Common Stock.

  • PEI Stock Options and PEI Director Options, whether vested or unvested, held by Retained Employees shall remain in effect following the Distribution and shall be equitably adjusted in accordance with Section 2.03(d)(iv) to reflect the Distribution.

  • Common Shares means the common shares in the capital of the Corporation;

  • Newco Stock means the common stock, par value $.01 per share, of NEWCO.

  • Company Stock means, collectively, the Company Common Stock and the Company Preferred Stock.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Plan Shares means shares of Common Stock held in the Trust which are awarded or issuable to a Participant pursuant to the Plan.

  • Ordinary Shares shall have the meaning given in the Recitals hereto.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Newco Shares means the common shares in the capital of Newco;

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Class A Stock means the Company's Class A Common Stock, par value $0.01 per share.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Parent Stock means the common stock, par value $0.01 per share, of Parent.

  • A Ordinary Shares means the A ordinary shares of £0.01 each in the capital of the Company;

  • Qualifying Preferred Stock means non-cumulative perpetual preferred stock of the Corporation that (a) ranks pari passu with or junior to all other preferred stock of the Corporation, and (b) either (x) is subject to a Qualifying Replacement Capital Covenant or (y) is subject to Intent-Based Replacement Disclosure and has a provision that prohibits the Corporation from paying any dividends thereon upon its failure to satisfy one or more financial tests set forth therein, and (c) as to which the transaction documents provide for no remedies as a consequence of non-payment of dividends other than Permitted Remedies.

  • Equity Stock means all classes or series of capital stock of the Company authorized under the Charter, including, without limit, its common stock, $.001 par value per share, and preferred stock, $.001 par value per share.

  • Class B Stock means Class B Stock, par value $1.00 per share, of the Company.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Fully Diluted Shares means total diluted shares as reported in the Company's Consolidated Income Statement for each fiscal year of the Performance Period, but shall exclude the dilutive effect of any restricted stock or restricted stock unit awards granted during the Performance Period and all options, restricted stock and other equity compensation granted to Directors during the Performance Period.

  • Preferred Stock Equivalents shall have the meaning set forth in Section 11(b) hereof.
