In the event Neurologix proposes modifications to Medtronic's proposed PD Application Work Plan, the Parties agree to negotiate in good faith the final provisions.
In the event that Seller fails to timely respond to Buyer's submission, Seller shall be deemed to have approved the applicable PD Application.

If Buyer is able to resolve Seller's objections to Seller's satisfaction, and Buyer is satisfied with the Revisions, in Buyer's sole and absolute discretion, Buyer shall proceed to have the City incorporate the Revisions into the Approved PD Application.
As soon as practicable after the Effective Date, Medtronic will provide a Work Plan in substantial accordance with the terms set forth in Exhibit A ("PD Application Work Plan") and any updates or amendments thereto to Neurologix, and Neurologix will have two (2) weeks from its receipt thereof to propose written modifications to the PD Application Work Plan or to accept the PD Application Work Plan.
