Parent Series J Preferred Stock definition

Parent Series J Preferred Stock shall have the meaning set forth in Section 4.05(a).
Parent Series J Preferred Stock means the Fixed-to-Floating Rate Non-Cumulative Preferred Stock, Series J, par value $0.01 per share, of Parent.
Parent Series J Preferred Stock means the Convertible Preferred Stock of Parent described in the Designation of Series J Redeemable Convertible Preferred Stock attached hereto as EXHIBIT A.

  • The preferred stock, when issued in accordance with the provisions of this Agreement will be lawfully issued as fully paid, nonassessable preferred shares of the Parent, and the common stock issuable upon conversion of the Parent Series J Preferred Stock, when issued in accordance with the conversion terms of said preferred stock, will be lawfully issued as fully paid, nonassessable common shares of the Parent.

  • The Parent has taken all necessary corporate action to create the Parent Series J Preferred Stock and to reserve a sufficient number of shares of common stock which may be issued upon conversion thereof.
