Own Brand Merchandise definition

Own Brand Merchandise means any and all goods bearing, or sold under or in connection with packaging or labels bearing the xxxx THE SPORTS AUTHORITY or the xxxx THE SPORTS AUTHORITY & Design, as either offered and sold by Retailer in its TSA Stores, or offered and sold by XXX.xxx from the TSA Site. All such sales by XXX.xxx are subject to the terms of the License Agreement.

Examples of Own Brand Merchandise in a sentence

  • Notwithstanding anything contained herein to the contrary, XXX.xxx recognizes that there may be instances where there shall be an insufficient amount of a particular item of Special Make-Ups or Own Brand Merchandise to warrant selling such merchandise on-line.

  • Licensee may only use the Marks on or in connection with Services, Materials and Own Brand Merchandise subject to Articles II and III and all other terms and conditions hereof.

  • Further, Retailer shall advise XXX.xxx and, if possible, furnish XXX.xxx with a sample of the Special Make-Ups or Own Brand Merchandise and advise XXX.xxx of the color selection and size range.

  • If so notified in writing by Licensor, Licensee shall not offer or furnish any Services, Materials, General Merchandise or Own Brand Merchandise whose nature or quality does not comply with the quality standards established by Licensor in accordance with this Agreement.

  • Retailer shall use its best --------------------------------------- efforts to advise XXX.xxx within ten (10) Business Days after placing a purchase order with a vendor for any Special Make-Ups or Own Brand Merchandise, identifying the vendor and the item (by category, class, UPC and/or Retailer's sku number), and setting forth Retailer's net cost, Retailer's proposed original retail price and expected date of receipt at Retailer's Warehouse.

  • In no event, however, shall Licensee distribute or offer for sale the subject General Merchandise, Own Brand Merchandise or Materials or use any altered Marks until approval of the applicable sample is granted in writing by Licensor.

  • To the extent practicable, Licensor and Licensee shall cooperate in good faith in developing standard manuals or procedures setting forth approved formats for packaging and labels for Own Brand Merchandise, and approved formats for Materials.

  • XXX.xxx shall have five (5) business days after receipt of notice from Retailer to place its order for Special Make- Ups or Own Brand Merchandise and, if so, the quantity thereof.

  • Further, to ensure compliance with Licensor's standards and instructions relating to the Licensed Property, Licensor, at its expense, directly or through representatives, may inspect and test General Merchandise and Own Brand Merchandise from time to time.

  • Licensor may monitor and control the nature and quality of the Services, Materials and Own Brand Merchandise, and Licensor may appoint one or more representatives to monitor and exercise such control on Licensor's behalf.

Related to Own Brand Merchandise

  • Merchandise means any personal property offered or sold for use in connection with the funeral, final disposition, memorialization, or interment of human remains, but which is exclusive of interment rights.

  • Goods means all of the equipment, machinery, and/or other materials that the supplier is required to supply to the purchaser under the contract.

  • Wholesaler means any person, other than a vintner, brewer or bottler of beer or wine, who shall sell, barter, exchange, offer for sale, have in possession with intent to sell, deal or traffic in alcoholic liquor, wine, or beer. A wholesaler shall not sell for consumption upon the premises.

  • Products means information resources technologies that are, or are related to, EIR.

  • Farm equipment means equipment used directly for farming

  • Purchased Equipment means any equipment, including any Software, sold by BT to the Customer.

  • Retail Store – means any business facility that sells goods directly to the consumer whether for or not-for-profit, including, but not limited to, retail stores, restaurants, pharmacies, convenience and grocery stores, liquor stores, as well as seasonal and temporary businesses.

  • Terminal Equipment means all telephone instruments, including pay telephone equipment, the common equipment of large and small key and PBX systems and other devices and apparatus, and associated wirings, which are intended to be connected electrically, acoustically or inductively to the telecommunication system of the telephone utility.

  • Customer Assets means the Customer’s infrastructure, data, software, materials, assets, equipment or other property owned by and/or licensed or leased to the Customer and which is or may be used in connection with the provision of the Services;

  • Business Products means all products and service offerings of the Business that are or have been, in the two year period prior to the date hereof, made or are currently intended to be made commercially available or otherwise provided or distributed, or under development primarily for the Business, by, for or on behalf of Seller or any of its Affiliates.

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Grocery store means any retail establishment, the business of which consists of the sale of food, food products, or beverages for consumption off the premises.

  • Purchased Services means Services that You or Your Affiliate purchase under an Order Form, as distinguished from those provided pursuant to a free trial.

  • Distributor means a person who distributes.

  • Customer Property means the property, other than real property and IPR, including any equipment issued or made available to the Supplier by the Customer in connection with this Call Off Contract;
