Outstanding Share Amount definition

Outstanding Share Amount means (a) in respect of a transaction referred to in (i) of the definition of Sale Transaction, the number of common shares of Oncolytics sold by shareholders of Oncolytics pursuant to such transaction; and (b) in respect of a transaction referred to in (ii) and (iii) of the definition of Sale Transaction, the aggregate number of issued and outstanding common shares of Oncolytics as at the date of completion of such transaction;
Outstanding Share Amount shall have the meaning ascribed to such term in Section 2.1(c).
Outstanding Share Amount means, with respect to a particular date, the sum of (x) the number of shares of Buyer Common Stock reported to be outstanding in Buyer's most recent quarterly or annual report, or any current report subsequent thereto, filed with the SEC pursuant to the Exchange Act prior to such date and (y) the number of shares issued by Buyer pursuant to an effective registration statement under the Securities Act subsequent to the date of such most recent Exchange Act report.

Outstanding Share Amount means the aggregate number of shares of Common Stock issued and outstanding as of a given date of determination, which number shall not include any options or convertible securities convertible into shares of Common Stock.
