The Buyer hereby grants to the Seller an option (the “Put Option”) to sell to the Buyer all or part of the Put Option Shares free from Encumbrances (as defined below) and together with all interests therein and rights and benefits attached thereto on and from the Original Agreement Date, on the terms set out in this Agreement.
This Agreement may be terminated by (i) the mutual consent of the Parties, (ii) the Seller, if the Buyer fails to deposit the Deposit Amount to the Seller’s designated bank account within five (5) Business Days following the Original Agreement Date, (iii) by the Seller, upon occurrence of a Termination Event, provided that concurrently with such termination, the Seller returns the Deposit Amount to the Buyer in accordance with Section 2.1 or (iv) the Buyer, if the Seller is in breach of Article II.
The Company has been formed as a Delaware limited liability company by the filing of the Certificate with the office of the Secretary of State of the State of Delaware, pursuant to and in accordance with the Act, and the adoption of the Original Agreement.
