The Company was formed as a Delaware limited liability company on March 5, 2013 by the execution and filing of a Certificate of Formation of the Company (the “Certificate”) by an authorized person under and pursuant to the Act and the execution of the Original Agreement.
The parties hereto hereby acknowledge that the Original Agreement is hereby amended and restated by the execution of this Agreement.
This Agreement, including the Schedules attached hereto, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes the Original Agreement and all other prior agreements and understandings, oral or written, between them regarding such subject matter.
