Note Exposure definition

Note Exposure means the greater of: (a) an amount equal to (1) the Aggregate Outstanding Nominal Amount of the Notes, less (2) an amount equal to 92.2% of the Value of the Notes Collateral that is in the form of securities and 100% of the Value of the Notes Collateral that is in the form of cash, and (b) zero. For the purposes of calculating the Note Exposure, no reduction of the Aggregate Outstanding Nominal Amount of the Notes shall be made to reflect Credit Events in respect of which a Final Price has not been determined or in respect of which Potential Failures to Pay or Potential ABS Failures to Pay or Potential Repudiation/Moratoriums have not been cured (and not resulted in the occurrence of a Credit Event) as of such Valuation Date;
Note Exposure means, with respect to any Noteholder, as of any date of determination, the outstanding principal amount of the Notes of such Noteholder.
Note Exposure means, with respect to any Investor, as of any date of determination, the outstanding principal amount of the Notes of such Investor; provided, at any time prior to the purchase of the Notes on the Closing Date, as applicable, the Note Exposure of any Investor shall include such Investor’s unfunded Commitment.
