Non-423 Plan definition

Non-423 Plan means an employee stock purchase plan which does not meet the requirements set forth in Code Section 423.
Non-423 Plan means that component of the Plan which is not intended to be an “employee stock purchase plan” under Section 423 of the Code and need not necessarily comply with the requirements of Section 423 of the Code.
