Upon the Executive's written request directed to the Chair of the NMI Board, made on or prior to the second anniversary of the Effective Date, and specifically referencing this Paragraph 5(c), the NMI Board shall consider, without obligation to act, whether to make an additional grant of options to the Executive, taking into account the Executive's performance and the performance of NMG and such other factors as the NMI Board may deem appropriate.
